2 <br />Assumption <br />New Service Provider undertakes and agrees to assume, perform, and <br />discharge, Original Service Provider’s liabilities, debts, and obligations <br />under the Agreement in all respects as if New Service Provider were the <br />original Service Provider signatory of the Agreement. New Service <br />Provider is jointly and severally liable with Original Service Provider to <br />the City for all liabilities, debts, and obligations under the Agreement. <br />Consent The City consents to the assignment and assumption contained in this <br />Amendment. <br />Other <br />This Amendment may be signed in counterparts, each of which shall be <br />deemed an original, and all of which, taken together, shall be deemed <br />one and the same document. AdobeSign signatures are fully binding. <br />All provisions in the Agreement shall remain in effect except as <br />expressly modified by this Amendment. From and after the effective <br />date of this Amendment, all references to the Agreement in the <br />Agreement are deemed references to the Agreement as modified by <br />this Amendment. <br /> <br />SIGNATURES ON FOLLOWING PAGE <br />
