(19) "Finance Director" means the person who holds the office of Finance <br />Director of the City, or such successor officer as may be charged with carrying out all or <br />substantially all of the duties of the office of Finance Director -Treasurer under the City Charter. <br />(20) "Fiscal Agent" means the fiscal agent of the State, as the same may be <br />designated by the State from time to time. <br />(21) "Government Obligations" has the meaning given in RCW 39.53.010, as now <br />in effect or as may hereafter be amended. <br />(22) "Issue Date" means, with respect to a Bond, the date of initial issuance and <br />delivery of that Bond to the Purchaser in exchange for the purchase price of that Bond. <br />(23) "Letter of Representations" means a Blanket Issuer Letter of Representations <br />between the City and DTC, on file with DTC and any successor or substitute letter relating to the <br />operational procedures of the Securities Depository. <br />(24) "LIFT" or "LIFT Program" means the local infrastructure financing tool <br />authorized under chapter 39.102 RCW. <br />(25) "LIFT Bonds" means a Series of the Bonds issued to provide funds to pay all <br />or a portion of the costs of the LIFT Public Improvements. <br />(26) "LIFT Public Improvements" means those improvements approved as part of <br />the LIFT Program application, as set forth in Ordinance No. 2997-07 of the City, which includes the <br />LIFT Parks & Trails Improvements. <br />(27) "LIFT Parks & Trails Improvements" means the public amenities, urban <br />parks, wetland enhancements, and trails improvements known as the Eclipse Mill Park project, <br />including riverbank stabilization, waterside amenities (which may include improvements such as a <br />river overlook deck, gangway, personal watercraft floating boarding dock, and debris deflector), <br />development of an access trail in the lowland park area, and other improvements public access and <br />enjoyment of the park, and other infrastructure improvements located within the RDA, consistent <br />with the City's application for the LIFT Program, as it may be amended from time to time. <br />(28) "LIFT Revenues" means the revenues derived by the City from <br />implementation of the LIFT Program, including but not limited to the State Contribution received as <br />a result of imposing the sales and use tax under RCW 82.14.475. <br />(29) "MSRB" means the Municipal Securities Rulemaking Board. <br />(30) "Official Statement" means an offering document, disclosure document, <br />private placement memorandum or substantially similar disclosure document provided to purchasers <br />and potential purchasers in connection with the initial offering of a Series of the Bonds in <br />conformance with Rule 15c2-12 or other applicable regulations of the SEC. <br />(31) "Owner" means, without distinction, the Registered Owner and the Beneficial <br />Owner. <br />(32) "Project Fund" means collectively or individually, depending on context (1) <br />with respect to the LIFT Parks &Trails Improvements, the City's Fund 308—Riverfront District <br />Development, which has been designated for the purpose of carrying out the LIFT Public <br />Improvements; and (2) with respect to the other Projects, the City's Fund 342—City Facilities <br />Construction Fund, Fund 303—Public Works Improvement Project Fund, and Fund 354—Parks CIP 3 <br />Construction Fund, which have been designated for the purpose of carrying out the Everett Municipal <br />Building Project, the Bridge Improvements, and the Riverfront Trail Improvements, respectively. <br />0 <br />
