1 <br /> 24. LIMITATION OF AGENCY'S AUTHORITY <br /> Only the Agency Contracting Officer, or delegate by writing, shall have the <br /> express, implied, or apparent authority to alter, amend, modify, or waive any <br /> clause or condition of this Agreement. Furthermore, any alteration, amendment, <br /> modification, or waiver of any clause or condition of this Agreement is not <br /> effective or binding until made in writing and signed by the Agency and the Bank <br /> unless otherwise provided herein. <br /> 25. AGENCY CONTRACT ADMINISTRATOR <br /> The Agency shall appoint an individual who will be the Contract Administrator <br /> for this Agreement and will provide oversight of the activities conducted <br /> hereunder. The Agency Contract Administrator will manage this Agreement on <br /> behalf of the Agency, and will be the Agency point of contact for the Bank <br /> concerning the Bank's performance hereunder. The Agency shall notify the Bank, <br /> in writing, when there is a change in staffing and a new Contract Administrator is <br /> assigned to this Agreement. <br /> 26. BANK'S ACCOUNT MANAGER <br /> The Bank shall appoint an individual who will be the Account Manager for the <br /> Agency account. The Bank's Account Manager will be the principal point of <br /> contact for the Agency concerning the Bank's performance hereunder. The <br /> Bank's Account Manager will also serve as the focal point for business matters, <br /> support coordination, and administrative activities. The Bank shall notify the <br /> Agency in writing if a new Account Manager is assigned. <br /> 27. AMENDMENTS <br /> No modifications or amendments to this Agreement shall be effective unless it is <br /> in a written amendment signed by an authorized officer of the Bank and an <br /> individual duly authorized on behalf of the Agency. <br /> 28. DISPUTES <br /> 28.1 Except as otherwise provided in this Agreement, when a bona fide dispute <br /> concerning a question of fact arises between the Agency and the Bank and <br /> it cannot be resolved, either party may initiate the dispute resolution <br /> procedure provided herein. <br /> 28.2 Time is of the essence in resolving disputes. The initiating party shall <br /> reduce its description of the dispute to writing and deliver it to the <br /> responding party. The responding party must respond in writing within <br /> two (2) Agency working days.
