[ 0 <br /> due to acts or omissions of any depository or to disorder in market <br /> infrastructure with respect to any particular security, security <br /> exchange, central depository, or clearing system; and <br /> 30.2.2 It is not liable for any delay or failure of any non-parties;company, <br /> corporation, or other body in charge of registering or transferring <br /> securities in the name of the Bank, any customer of the Bank, or <br /> the Subcustodian, its nominee or agent, or for any consequential <br /> losses arising out of such delay or failure to transfer such securities <br /> including non-receipt of bonus, dividends, and rights and other <br /> accretions or benefits. <br /> 30.2.3 The Bank's performance under this Agreement is subject to any <br /> relevant regulations, as well as the rules, operating procedures and <br /> practices of any relevant stock exchange, clearing systems or <br /> depositories or market where or through which Proper Instructions <br /> are to be carried out and to which the Bank is subject and as exist <br /> in the market in which any securities or cash are held. <br /> 30.2.4 The Bank shall be under no obligation to take action to collect any <br /> amount payable on securities in default, or if payment is refused <br /> after due demand and presentment. The Bank shall have no duty <br /> or responsibility to inquire into, make recommendations, supervise, <br /> or determine the suitability of any transactions affecting any of the <br /> Agency's accounts("Account"). <br /> 30.2.5 The Bank may debit the Account for fees and expenses payable <br /> hereunder which remain in arrears for over 60 days. <br /> 30.2.6 The Bank shall have no duties or responsibilities whatsoever <br /> except such duties and responsibilities as are specifically set forth <br /> in this Agreement, and no covenant or obligation shall be implied <br /> against the Bank in connection with this Agreement. <br /> 31. CONFIDENTIALITY OF AGENCY RECORDS <br /> 31.1 The Bank acknowledges that material and information which has or will <br /> come into its possession or knowledge in connection with this Agreement <br /> or its performance, may consist of confidential and proprietary data, the <br /> disclosure of which to,or use by,third parties could be damaging. <br /> 31.2 Access to information concerning the Agency or individual recipients of <br /> the Agency's services shall not be granted except as authorized by law or <br /> in writing by the Agency. <br /> Statewide Custody Provider Program • <br /> Agreement for Custody Services 14 <br /> 116 <br />
