Agreement No.: <br /> SOFTWARE LICENSE AGREEMENT <br /> ,,This Software License Agreement("Agreement")is entered into as of the"! day of <br /> 1 r�. 2016("Effective Date")by and between CourtView Justice Solutions Inc., a <br /> De1aw corporation,with offices at 4825 Higbee Ave NW, Canton,OH 44718 ("CJS"),and <br /> City of Everett,with offices at 2930 Wetmore Avenue Everett, WA 98201 ("CUSTOMER"), and <br /> describes the terms and conditions pursuant to which CJS shall license to CUSTOMER certain <br /> CJS Software(as defined below). <br /> ARTICLE I-DEFINITIONS <br /> A. "Confidential Information"means this Agreement and all its schedules, any amendment <br /> hereto signed by both parties,all software listings, Documentation, information, data, <br /> drawings,benchmark tests, specifications,trade secrets, object code and machine-readable <br /> copies of the CJS Software, source code relating to the CJS Software, and any other <br /> proprietary information supplied to CUSTOMER by CJS, including all items defined as <br /> "confidential information" in any other agreement between CUSTOMER and CJS whether <br /> executed prior to or after the date of this Agreement. <br /> B. "Documentation"means any instructions manuals or other materials, and on-line support <br /> files regarding the Use of the CJS Software that is provided by CJS. <br /> C. "CJS Software"means the computer software programs specified in Schedule 1 and licensed <br /> by CJS hereunder. <br /> D. "Site"means the physical location of one or more CPUs at which CUSTOMER is entitled to <br /> Use the CJS Software. <br /> E. "Software"means CJS Software and Third Party Software provided by CJS. <br /> F. "Software Maintenance", if purchased by CUSTOMER,means the services described in the <br /> separate Maintenance Agreement. <br /> G. "Third Party Software"means software licensed by a third party, other than CJS, and is <br /> provided by CJS subject to such the license of such third party. <br /> H. "Update" means error corrections or fixes to the version of the CJS Software specified in <br /> Schedule 1. <br /> I. "Use"means utilization of the Software by CUSTOMER for its own internal information <br /> processing services and computing needs. <br /> December 2015 1 of 11 <br />
