APPEARANCE AND MATERIALS RELEASE
<br />This APPEARANCE AND MATERIALS RELEASE ("Agreement") is
<br />made effective as of the date of Licensor's signature below
<br />("Effective Date") between Axon Enterprise, Inc., a Delaware
<br />corporation, on behalf of itself and its licensees, successors,
<br />assigns and affiliates (collectively, "Axon"), and the individual,
<br />entity or government agency named below ("Licensor"). If
<br />Licensor is an entity or government agency, Licensor also
<br />includes Licensor's employees, agents and representatives.
<br />For good and valuable consideration (the receipt and
<br />sufficiency of which Licensor and Axon hereby acknowledge),
<br />Licensor hereby grants Axon the worldwide, irrevocable,
<br />exclusive, royalty-free, perpetual, transferable, sublicensable,
<br />and assignable right and license to reproduce, print, publish,
<br />broadcast, modify, edit, exhibit, transmit exploit, sell, license,
<br />rebroadcast, make derivatives of, record, photograph,
<br />identify, or otherwise use, and permit others to use, Licensor's
<br />body cam footage identified as 2024-129586 (and all images,
<br />pictures, audio, video, names, voices, biographical
<br />information, and testimonial statements within such
<br />footage), and all materials created by Axon that incorporate
<br />any of the foregoing (collectively, "Subject Matter") in
<br />connection with advertising, publicity, or promotion of Axon,
<br />in any all media formats and by any and all technologies and
<br />means of delivery, on any platform.
<br />For the avoidance of doubt, Licensor shall have no right to
<br />compensation in connection with Axon's use of the Subject
<br />Matter. Axon has no obligation to use the Subject Matter or to
<br />exercise any rights granted under this Agreement. Licensor
<br />agrees that Axon is and will be the sole and exclusive owner of
<br />all right, title, and interest in all materials created by Axon that
<br />incorporate any of the Subject Matter (including, without
<br />limitation, all film, photographs, and other recordings),
<br />including, without limitation, all copyrights and other
<br />intellectual property rights therein, in perpetuity throughout
<br />the world.
<br />Licensor hereby represents and warrants that Licensor has full
<br />right, power, and authority to enter into this Agreement, that
<br />the consent of no other person, firm, corporation, or labor
<br />organization is required to enable Axon to exercise the rights
<br />granted herein, and that such exercise will not violate or
<br />infringe upon the rights of any third party.
<br />Licensor (b) hereby waives all rights related to any and all
<br />claims arising from Axon's use of the Subject Matter, including,
<br />without limitation, any claims based on copyright, right of
<br />privacy, invasion of privacy, or libel, (c) covenants not to bring
<br />any such claim against Axon, and (d) releases and discharges
<br />Axon from liability under such claims.
<br />This Agreement contains the full and complete understanding
<br />between the parties hereto and supersedes all prior
<br />agreements and understandings pertaining hereto and cannot
<br />be modified except by a writing signed by each party hereto.
<br />IN WITNESS WHEREOF, Axon and Licensor have duly executed
<br />this Agreement as of the Effective Date.
