EASEMENT <br />grants and conveys to the City the following exclusive perpetual easement for utilities purposes <br />(the "Easement") upon the easement area legally described in Exhibit B attached hereto (the <br />"Easement Areal: <br />An exclusive perpetual easement over, across, along, in, upon and under the <br />Easement Area for the purpose of planning, surveying, engineering, soil testing, <br />constructing, reconstructing, operating, maintaining and repairing one or more <br />utility lines and all appurtenances thereto; together with the right of ingress to and <br />egress from the Easement Area and across adjacent property of the Grantor <br />together with the right to use the Easement Area for the purpose of piling dirt and <br />providing trench stabilization during the construction, reconstruction, operation, <br />maintenance and repair the aforesaid improvement or facility. <br />2. No Interference with the City's Use of Easement Area. Grantor and its <br />representatives, employees, agents, contractors, licensees and/or guests shall not interfere with, <br />obstruct or endanger the City's use of the Easement Area, or in any way interfere with, obstruct <br />or endanger the usefulness of any utilities infrastructure or improvements located thereon. <br />Grantor shall be solely liable for the costs of any repairs to any of the City's utilities infrastructure <br />or improvements located within the Easement Area necessitated by the actions of Grantor <br />and/or its representatives, employees, agents, contractors, licensees, invitees and/or guests. <br />Prior to any construction, work or any other activity (collectively, the "Grantor Work") which <br />Grantor proposes to undertake within the Easement Area, Grantor shall provide to the City plans <br />and specifications detailing the Grantor Work. The City shall review such plans and specifications <br />and provide comments to Grantor with regard to modifications to be made to the Grantor Work <br />to avoid interference with the City's utilities infrastructure or improvements; provided, however, <br />that any such comments made by the City shall be for informational purposes only and shall not <br />be deemed to be a warranty by the City for any purposes whatsoever. Further, this City review <br />of the Grantor's plans and specifications shall not be deemed to impose any duty or obligation <br />on the City to determine the adequacy or sufficiency of Grantor's plans and specifications nor <br />2 <br />
