DTC means The Depository Company, New York, New York, a limited purpose trust <br /> company organized under the laws of the State of New York, as depository for the Bonds <br /> pursuant to Section 4 hereof. <br /> Escrow Agent means U.S. Bank National Association, Seattle, Washington. <br /> Escrow Agreement means the Escrow Deposit Agreement to be dated as of the date of <br /> closing and delivery of the Bonds substantially in the form attached hereto as Exhibit A. <br /> Federal Securities means direct obligations of (including obligations issued or held in <br /> book-entry form on the books of), or obligations the timely payment of the principal of and <br /> interest on which are unconditionally guaranteed by, the United States of America. <br /> Fitch means Fitch, Inc., organized and existing under the laws of the State of Delaware, <br /> its successors and their assigns, and, if such organization shall be dissolved or liquidated or shall <br /> no longer perform the functions of a securities rating agency, Fitch shall be deemed to refer to <br /> any other nationally recognized securities rating agency (other than S&P or Moody's) designated <br /> by the Chief Financial Officer. <br /> Fixed Rate Bonds means those Parity Bonds other than Capital Appreciation Bonds, <br /> Original Issue Discount Bonds or Balloon Maturity Bonds issued under an ordinance in which <br /> the rate of interest on such Parity Bonds is fixed and determinable through their final maturity or <br /> for a specified period of time. If so provided in the ordinance authorizing their issuance, Parity <br /> Bonds may be deemed to be Fixed Rate Bonds for only a portion of their term. <br /> Future Parity Bonds means any water and sewer revenue bonds which the City may <br /> hereafter issue having a lien upon the Revenue of the System for the payment of the principal <br /> thereof and interest thereon equal to the lien upon the Revenue of the System of the Bonds and <br /> the Outstanding Parity Bonds. <br /> -10- P:\20287 CM'M20287 9RC 01/02/13 <br />
