<br /> <br />Scope of Services <br />The City of Everett (the “City”) has requested PFM Financial Advisors LLC’s assistance <br />in the development of a plan of finance for the City of Everett Outdoor Multipurpose <br />Facility Project (the “Project”). Services that may be provided by PFM include: <br />Development of a Plan of Finance <br />- Assist City to develop a preliminary plan of finance that considers the long-term <br />financial impact of the Project. <br />- Review (peer) examples of similar stadium financings. <br />- Review and evaluate proposed funding sources for the Project. <br />- Identify risks associated with various funding sources. <br />- Determine funding gap that will be financed with debt. <br />- Identify and evaluate sources of revenue for debt service payments, including the <br />timing of pledged revenues and budgetary/financial impacts. <br />- Review documents related to financing plan terms and conditions including lease <br />agreements, operating agreements, partnership agreements, etc. <br />- Explore and evaluate alternative financial structures, including but not limited to <br />63-20 financings or lease revenue bonds. <br />Project Feasibility and Financial Impacts <br />- Analyze debt capacity of identified project revenues and determine their project <br />investment potential, net of typical necessary financing components, such as <br />reserves, capitalized interest, costs of issuance, etc. <br />- Evaluate potential credit rating impacts of the Project. <br />- Review and evaluate Project financial projections/proformas, reports, and memos <br />prepared by external partners and stakeholders. <br />Bond Structure and Financial Covenants <br />- Provide recommendations for financing structure and bond covenants including <br />revenue coverage requirements, debt service reserve funding, use of capitalized <br />interest, etc. <br />- Consult with City and their bond counsel regarding the financial impact of tax <br />considerations, legal debt limitations, and other financing considerations of <br />different proposed structures. <br />- Provide bond market assumptions necessary for financial projections, including <br />bond market interest rates/yields. <br />General Financial Advisory Services <br />- Participate in meetings with the City’s staff, Council, consultants, and other <br />professionals. <br />- Provide memos or presentations as requested by the City. <br />- Provide other ad-hoc analysis or financial services as requested by the City. <br /> <br /> <br /> <br />
