<br />13 <br /> <br /> <br />u. Sell, convey, lease, exchange, transfer, and otherwise dispose of all of its <br />real and personal property and assets; <br />v. Sue and be sued, complain and defend, in all courts of competent <br />jurisdiction in Snohomish County 911’s name; <br />w. Make and alter bylaws for the administration and regulation of its affairs <br />consistent with this Agreement; <br />x. Hold radio frequency licenses and software and other licenses to enable <br />Snohomish County 911 to operate radio communications and dispatch systems to meet its <br />public safety responsibilities; <br />y. Enter into contracts with Subscribers and other relevant parties to provide <br />Emergency Communication Services and Additional Services pursuant to this Agreement; <br />z. Any and all other acts necessary to further Snohomish County 911’s goals <br />and purposes; and <br />aa. Except as expressly provided above or in Section 13, Snohomish County <br />911 shall not have the power or authority to issue debt in its own name. <br />SECTION 6. GOVERNING BOARD: COMPOSITION AND OPERATION. <br />a. Composition. Snohomish County 911 shall be governed by a Governing <br />Board composed of fifteen (15) voting members. Ten (10) of the Governing Board voting <br />member seats shall be allocated to Police Agencies and five (5) Governing Board voting <br />member seats shall be allocated to Fire Agencies. Governing Board Members and their <br />alternates shall be selected in the manner described in Exhibit A. <br />b. Qualifications to Serve. A Governing Board Member, or his or her alternate <br />must be duly selected in the manner described in Exhibit A and must be either: an elected <br />official; chief administrative officer; chief law enforcement officer or fire chief from a <br />Principal, or a person directly-reporting to the chief law enforcement officer or fire chief; <br />or in the case of Snohomish County, the Snohomish County Executive or a person reporting <br />directly to the Snohomish County Executive. <br />c. Terms of Office. Governing Board Members are elected every two (2) years <br />by caucuses no later than the April Governing Board meeting of that year, as described <br />further in Exhibit A. The terms of the newly elected Board Members commence with the <br />first Governing Board meeting in May.
