<br />21 <br /> <br /> <br />Only the Governing Board shall be authorized to hire or retain legal counsel and <br />independent accountants and auditors. Other consultants or legal counsel for specialized <br />purposes within the Executive Director’s signing authority as it may be defined by the <br />Board from time to time may be designated in such manner as the Governing Board may <br />determine subject to Sections 5 and 6. <br />The Executive Director shall have experience in technical, financial and administrative <br />fields and his or her appointment shall be on the basis of merit only. The Executive <br />Director is an “at will” employee and may be terminated upon the Simple Majority Vote <br />of the Governing Board. <br />SECTION 10. PERSONNEL POLICY <br />The Executive Director shall, as necessary from time to time, submit to the Governing <br />Board a proposed personnel policy for the Governing Board’s approval, rejection or <br />modification. All modifications or revisions to such personnel policies must be approved <br />by the Governing Board if and to the extent required in such policies. <br />SECTION 11. OPERATIONAL POLICY AND SYSTEM EVALUATION; RADIO <br />SYSTEM OPERATIONS. <br />a. Operational Effectiveness. The Executive Director shall actively consider and <br />evaluate means and opportunities toward the enhancement of operational <br />effectiveness of emergency services. The Executive Director shall present his or <br />her recommendations to the Technical Advisory Committees and the Governing <br />Board from time to time. <br /> <br />b. Operational Standards for Radio System. The Governing Board shall adopt <br />operation and maintenance standards for the Radio System. The Technical <br />Advisory Committees shall submit to the Governing Board recommendations <br />regarding operation and maintenance standards for the Radio System. <br />c. Radio System Use. Each Participating Agency shall use the Radio System <br />exclusively for approved Radio System purposes and in strict accordance with all <br />applicable federal law and regulations. Principals hereby agree, and Subscribers <br />shall agree in their applicable contract to agree, to abide by all Federal <br />Communication Commission rules and regulations concerning the use of shared <br />radio facilities. <br />d. Radio System Access Priorities. Principals shall have priority access to the Radio <br />System. Upon approval by the Governing Board, access may be provided by <br />contract to Subscribers in the following priority:
