<br />30 <br /> <br /> <br />this Agreement. The parties shall share equally the costs of mediation and assume their <br />own costs. <br /> <br />SECTION 22. INSURANCE. <br />The Governing Board, Executive Director, and Technical Advisory Committees shall take <br />such steps as are reasonably practicable to minimize the liability of the Participating <br />Agencies, including but not limited to the utilization of sound business practice. The <br />Governing Board shall determine which, if any, insurance policies or self-insurance <br />programs for governmental entities authorized in the State of Washington may be <br />reasonably and practicably acquired to cover liability exposures and other potential losses <br />arising from the operations of the Snohomish County 911 and the activities of the parties <br />pursuant to this Agreement (which may include Directors and Officers, Commercial <br />General Liability, Auto, Workers’ Compensation, Stop Gap/Employer’s Liability, errors <br />and omissions, crime/ fidelity insurance, CyberRisk, property damage or loss), and shall <br />direct the acquisition of same. <br />SECTION 23. INDEMNIFICATION AND HOLD HARMLESS. <br />a. Each Principal shall defend, indemnify and hold other Principals, their <br />officers, officials, employees, agents and volunteers harmless from any and all claims, <br />injuries, damages, losses or suits including attorney fees, arising out of that Principal’s <br />negligent acts or omissions in connection with the performance of its obligations under this <br />Agreement, except to the extent the injuries or damages are caused solely by the acts of a <br />Principal; provided, that if any such Claim is based on the concurrent negligence of more <br />than one Principal, then the indemnifying party’s obligation hereunder applies only to the <br />extent of its negligence. <br />b. Each Principal shall defend, indemnify and hold the Snohomish County 911 <br />and its officers, officials, employees and volunteers harmless from any and all claims, <br />injuries, damages, losses or suits including attorney fees, arising out of that Principal’s <br />negligent acts or omissions in connection with the performance of its obligations under this <br />Agreement, except to the extent the injuries and damages are caused solely by the acts of <br />the Snohomish County 911; provided, that if any such Claim is based on the concurrent <br />negligence of Snohomish County 911 and Principal, then the indemnifying party’s <br />obligation hereunder applies only to the extent of its negligence. <br /> <br />c. As provided in its Articles, the Snohomish County 911 shall defend, <br />indemnify and hold each Principal its officers, officials, employees and volunteers <br />harmless from any and all claims, injuries, damages, losses or suits including attorney fees, <br />arising out of the Snohomish County 911’s acts or omissions in connection with the
