otherwise reduce coverage shall not void or otherwise reduce coverage as to any <br /> other named insured;(v)that such policies shall afford coverage for all claims based <br /> on acts, omissions, for bodily injury or property damage that occurred or arose(or <br /> the onset occurred or arose)in whole or in part during the policy period; and(vi)to <br /> provide written notice of cancellation for any reason, including without limitation <br /> intent not to renew or reduce coverage excluding non-payment of premium to both <br /> Lessee and Lessor. In the event that Lessee receives a notice of intent to cancel or <br /> notice of cancellation for any coverage required under this Lease, Lessee shall <br /> forward such notice to Lessor within two business days and promptly take action <br /> to prevent cancellation, reinstate cancelled coverage or obtain coverage from a <br /> different insurer qualified under this Lease. <br /> c. CERTIFICATES OF INSURANCE. At Lessor's request, Lessee shall <br /> provide copies of certificates of insurance and required endorsements to Lessor <br /> within five(5)business days after Lessee's receipt of Lessor's request. <br /> d. INSURER QUALIFICATIONS. All policies required by this section shall <br /> be issued by insurers that are: (i) authorized to do business in the State of <br /> Washington; and(ii)rated A-:VII or better by A.M.Best's Key Rating Guide or its <br /> equivalent.Any other insurance providers shall require the prior approval of Lessor, <br /> which approval may be refused in Lessor's sole discretion. <br /> e. WAIVER OF SUBROGATION. To the fullest extent permitted by <br /> applicable law,Lessee and Lessee's general liability, automobile liability, workers <br /> compensation, and excess or umbrella liability insurers hereby waive any right of <br /> recovery against the Lessor for any loss or damage sustained by Lessee with respect <br /> to the demised premises,in whole or in part,the contents on,under,above or within <br /> the demised premises or any operation therein, whether such loss is caused by the <br /> Lessor's fault or negligence or not,and to the extent such loss or damage is covered <br /> by insurance obtained by Lessee under this Lease or is actually covered by <br /> insurance obtained by Lessee. Lessee agrees to cause its insurers to issue <br /> appropriate waiver of subrogation rights endorsements to the required insurance <br /> policies relating to the demised premises, but the failure to obtain any such <br /> endorsement will not affect the waivers in this section. <br /> f. CLAIMS-MADE. In the event that any required insurance under this Lease <br /> is provided under a claims-made form, Lessee shall continuously maintain such <br /> coverage throughout the Lease Term and, without lapse, for three years after the <br /> latter occurrence of: (i) Lessee's completion of its removal and restoration <br /> obligations at each Watertank Site; or(ii) this Lease's expiration or termination,to <br /> the effect that, should any event give rise to a claim brought after the foregoing <br /> period, such claims will be covered under Lessee's claims-made policies. <br /> Page 3 of 27 <br /> Business Unit#s:823966,823967,823968 <br /> Site Names:Everett Mall-Burley,Everett Monopole,Everett Water Tank <br />
