SNO-ISLE TECH 2O23 SMALL WORKS <br />McGRANAHAN ARCHITECTS <br />Section 00 70 00, Page 65 <br />GENERAL CONDITIONS <br />13.7 PARTNERING <br />The Owner, Contractor and Architect may participate together in cooperative procedures mutually <br />developed by the parties to avoid or minimize problems on the Project. <br />ARTICLE 14 <br />TERMINATION OR SUSPENSION OF THE CONTRACT <br />14.1 TERMINATION BY THE CONTRACTOR <br />14.1.1 The Contractor shall have the right to terminate the Contract only if the Owner fails to remedy a <br />breach by it of a material term of the Contract Documents, and such failure continues to exist after thirty <br />(30) days' advance written notice from Contractor that describes such a material breach and identifies at <br />least one way for Owner to remedy it. <br />14.2 TERMINATION BY THE OWNER FOR CAUSE <br />14.2.1 The Owner may, upon seven (7) days' written notice to the Contractor, terminate (without <br />prejudice to any right or remedy of the Owner) the whole or any portion of the Contract or Work for <br />cause, including, but not limited to, the following circumstances: <br />.1 The Contractor fails to prosecute the Work or any portion thereof with sufficient diligence to <br />ensure the Substantial Completion of the Work within the Contract Time; <br />.2 The Contractor is adjudged bankrupt, makes a general assignment for the benefit of its creditors, <br />or if a receiver is appointed on account of its insolvency; <br />.3 The Contractor fails to supply a sufficient number of properly skilled workers or proper materials; <br />.4 The Contractor fails to make prompt payment due to Subcontractors or for materials or labor; <br />.5 The Contractor disregards or violates laws, ordinances, rules, regulations or orders of any public <br />authority having jurisdiction; or <br />.6 The Contractor breaches any material provision of the Contract Documents. <br />14.2.2 When any of the above reasons exist, or when any other legally sufficient cause exists, the Owner, <br />upon certification by the Architect that sufficient cause exists to justify such action, may without <br />prejudice to any other rights or remedies of the Owner and after giving the Contractor and the <br />Contractor's surety, if any, seven (7) days' written notice, terminate employment of the Contractor and <br />may, subject to any prior rights of the surety: <br />.1 Take possession of the site and of all materials, equipment, tools and construction equipment and <br />machinery thereon owned by the Contractor; <br />.2 Accept assignment of subcontracts pursuant to Paragraph 5.4; and <br />mcg-ARC 2120.000 February 28, 2023 <br />
