202107010533 Document:AM-AGMT Rec: S109.50 Page-2 of 7 <br />Record Date:7/1/2021 12:23 PM Snohomish County, WA <br />MEMORANDUM OF FIRST AMENDMENT TO AGREEMENT <br />This Memorandum of First Amendment to Agreement ("Memorandum") dated for reference <br />purposes May 4, 2021, by Riverfront Commercial Investment, L.L.C, Riverfront Phase 1 LLC, Riverfront <br />Phase 2 LLC, Riverfront Phase 3 LLC, Riverfront Phase 4 LLC, Riverfront Grocer LLC, and Riverfront <br />Theater LLC (collectively, "RCI Entities") and the City of Everett, a municipal corporation of the State of <br />Washington ("City") (each a "Party" and together the "Parties"). <br />The Parties executed the Amended and Restated Property Disposition Agreement as of May <br />17, 2019 (the "Agreement"), a memorandum of which was recorded under Snohomish County <br />recording number 201908230501. The Agreement concerns the "Developer Property," which is <br />described on the attached Exhibit A. <br />The Parties executed the First Amendment to the Agreement as of May 4, 2021 (the "First <br />Amendment"). The First Amendment concerns the Developer Property. Subject to the terms and <br />conditions of the First Amendment, this Memorandum is recorded to give public notice of the First <br />Amendment, and in no way modifies or affects the terms and conditions of the First Amendment. <br />[Signatures on following pages.] <br />(041SO296.DOCX;3 ) Page 2 of 7 <br />
