Nothing provided in this Agreement shall be construed to affect in any way the City's normal permitting process, procedures or requirements or to affect in any way the RCI Parties' rights to seek and obtain, pursuant to the City's normal permit procedures, permits from the City in relation to repair, replacement, relocation, or other modifications to the Streetscape Improvements or the Private Utilities The City and RCI Parties shall work together in good faith and without delay to make any modifications to this Agreement as may be necessary for the RCI Parties to complete the Development, so long as such modifications do not interfere with City and public use of Riverfront Blvd. 12. Removal/Abandonment. In the event the RCI Parties determine that Private Utilities or the irrigation system that is part of the Streetscape Improvements or any portion thereof are no longer needed, the RCI Parties shall give notice to the City. The City shall allow such no -longer -needed Private Utilities or irrigation system to be abandoned in place, unless the City reasonably determines that the abandoned utilities may interfere with the City's use of Riverfront Blvd, in which case the no -longer -needed irrigation system or Private Utilities shall be removed at no cost to the City and any damage to Riverfront Blvd or City property from such removal shall be repaired as set forth in Section 5 above. 13. Relocation. The RCI Parties may relocate Private Improvements, so long as such relocation is at no cost to the City and (i) does not unreasonably interfere with the City's use of Riverfront Blvd for the purpose of constructing, installing, repairing, maintaining, improving, replacing and operating a public street and utilities with improvements including, but not limited to, water and sewer utility lines, landfill gas systems, public parking areas, pedestrian and/or bicycle pathways and vehicular traffic lanes, and (ii) complies with the requirements of Section 4. 14. Notices. Any demand upon or notice required or permitted to be given by one Party to the other Party shall be in writing.
