21 <br />Progressive Design Build General Conditions <br /> <br />6.3 Withholding of Payments. <br />6.3.1 On or before the date established in the Contract, Owner shall pay Design-Builder all <br />amounts properly due, less statutory retainage. If Owner determines that Design-Builder is not <br />entitled to all or part of an Application for Payment because of Design-Builder’s failure to meet its <br />obligations hereunder, it will notify Design-Builder in writing at least five (5) days prior to the date <br />payment is due. The notice shall indicate the specific amounts Owner intends to withhold, the <br />reasons and contractual basis for the withholding, and the specific measures Design-Builder must <br />take to rectify Owner’s concerns. Design-Builder and Owner will attempt to resolve Owner’s <br />concerns prior to the date payment is due. If the parties cannot resolve such concerns, Design- <br />Builder may pursue its rights under the Contract Documents, to resubmit disputed amounts. <br />6.3.2 Notwithstanding anything to the contrary in the Contract Documents, Owner shall pay <br />Design-Builder all undisputed amounts in an Application for Payment within the times required by <br />the Contract. <br />6.4 Design-Builder’s Payment Obligations. <br />6.4.1 Design-Builder will pay Design Consultants and Subcontractors, in accordance with its <br />contractual obligations to such parties, all the amounts Design-Builder has received from Owner <br />on account of their work. Design-Builder will impose similar requirements on Design Consultants <br />and Subcontractors to pay those parties with whom they have contracted. Design-Builder will <br />indemnify and defend Owner against any claims for payment and mechanic’s liens as set forth in <br />Section 7.3 hereof. <br />6.5 Substantial Completion. <br />6.5.1 Design-Builder shall notify Owner when it believes the Work, or to the extent permitted in <br />the Contract Documents, a portion of the Work, is Substantially Complete. Within five (5) days of <br />Owner’s receipt of Design-Builder’s notice (and all required documents and information), Owner <br />and Design-Builder will jointly inspect such Work to verify that it is Substantially Complete in <br />accordance with the requirements of the Contract Documents. If such Work is Substantially <br />Complete, Owner shall prepare and issue a Certificate of Substantial Completion that will set forth <br />(i) the date of Substantial Completion of the Work or portion thereof, (ii) the remaining items of <br />Work that have to be completed before final payment, (iii) provisions (to the extent not already <br />provided in the Contract Documents) establishing Owner’s and Design-Builder’s responsibility for <br />the Project’s security, maintenance, utilities and insurance pending final payment, and (iv) an <br />acknowledgment that warranties commence to run on the date of Substantial Completion, except <br />as may otherwise be noted in the Certificate of Substantial Completion. Design-Builder’s notice <br />shall include the following documents and information: <br />6.5.1.1 An affidavit certifying that there are no claims, obligations or liens outstanding or <br />unsatisfied for labor, services, material, equipment, taxes or other items performed, <br />furnished or incurred for or in connection with the Work through the date of the notice <br />which will in any way affect Owner’s interests; <br />6.5.1.2 All operating manuals, warranties, record documents and other deliverables <br />required by the Contract Documents; and <br />6.5.1.3 A signed and stamped set of all calculations supporting the design of the Project. <br />6.5.2 Upon Substantial Completion of the entire Work or, if applicable, any portion of the Work, <br />Owner shall release to Design-Builder all retained amounts relating, as applicable, to the entire <br />Work or completed portion of the Work, less an amount equal to the reasonable value of all
