6 <br />Progressive Design Build Contract <br /> <br /> <br />Article 3 <br />Contract Documents <br />The Contract Documents are comprised of the following, which are incorporated herein by this reference. <br />In the event of a conflict or discrepancy among or in the Contract Documents that cannot be resolved by <br />interpreting the Contract Documents as a single, integrated document and giving effect to each provision <br />therein, interpretation shall be governed in the following priority: <br /> <br />3.1 All written and fully executed modifications, amendments (including the GMP Amendment), minor <br />changes, and Change Orders to this Contract issued in accordance with the General Conditions, with more <br />recent documents taking preference; <br /> <br />3.2 The GMP Amendment including the Basis of Design Documents and including the Project Labor <br />Agreement attached thereto, if any; <br /> <br />3.3 This Contract, including all exhibits and attachments but excluding the Owner Initial Programming <br />and Overview and Provided Information attached to this Contract. The Owner Initial Programming and <br />Overview and Provided Information are not Contract Documents, and are provided for information only; <br /> <br />3.4 The General Conditions; <br /> <br />3.5 Construction Documents prepared and approved in accordance with Section 2.4 of the General <br />Conditions; <br /> <br />3.6 Owner’s Request for Qualifications, its Request for Proposals, and Addenda thereto, if any; and <br /> <br />3.7 Design-Builder’s Statement of Qualifications, Proposal, and Attachments accepted by Owner. <br /> <br />Article 4 <br />Interpretation and Intent <br />4.1 Design-Builder and Owner, at the time of acceptance of the Phase 2 Proposal by Owner in full, <br />shall carefully review all the Contract Documents, including the various documents comprising the Basis of <br />Design Documents for any conflicts or ambiguities. Design-Builder and Owner will discuss and resolve any <br />identified conflicts or ambiguities prior to execution of the GMP Amendment. <br /> <br />4.2 The Contract Documents are intended to permit the parties to complete the Work and all obligations <br />required by the Contract Documents within the Contract Time(s) for the Contract Price. The Contract <br />Documents are intended to be complementary and interpreted in harmony to avoid conflict, with words and <br />phrases interpreted in a manner consistent with construction and design industry standards. In the event <br />inconsistencies, conflicts, or ambiguities between or among the Contract Documents discovered after <br />Owner’s acceptance of the Proposal, Design-Builder and Owner shall attempt to resolve any ambiguity, <br />conflict, or inconsistency informally, recognizing that the Contract Documents shall take precedence in the <br />order in which they are listed in Article 3 herein. <br /> <br />4.3 Terms, words, and phrases used in the Contract Documents, including this Contract, shall have <br />the meanings given them in the General Conditions. <br /> <br />4.4 Design-Builder may propose modifications to and expansion of the Owner’s Initial Programming <br />and Overview. Prior to presenting its Phase 2 Proposal, the Design-Builder shall identify any items in the <br />Owner’s Initial Programming and Overview. that conflict with or in any way impede Design-Builder’s ability <br />to meet any Performance Standards set forth in the Owner’s Initial Programming and Overview. <br />
