<br />EXHIBIT A <br />AMENDMENT NO. 2 <br />PROFESSIONAL SERVICES AGREEMENT <br />(ADDITIONAL SCOPE OF WORK) <br /> <br />SOJ will provide project management services for the Outdoor Event Center Project, as directed by the <br />City of Everett (City) and as described below. <br />Design and Permitting Phase of the Project (2025) <br />SOJ will continue to manage, coordinate and assist the City with development of the Project, including <br />the following tasks: <br />• Progressive Design-Build (PDB) team’s Schematic Design deliverables, Design Development <br />deliverables, and cost estimates <br />• Negotiation of a Guaranteed Maximum Price (GMP) with the PDB and development of the GMP <br />amendment to the PDB’s contract with the City <br />• Permitting strategy and implementation with the PDB team <br />• Development and tracking of project schedule with the PDB team <br />• Development and tracking of project budget with the City <br />• Refinement of project scope and phasing plans with the PDB team, the City and their <br />partners/tenants <br />• Refinement of funding plans/financial plans for construction and long-term operations with the <br />City and their financial partners <br />• Lease negotiations with private partners, including the Everett AquaSox and United Soccer <br />League (USL), with the City and their legal counsel <br />• Negotiations with P3 non-profit facilitator and potential development partners <br />• City’s site assembly and acquisition of real property with the City and their legal counsel <br />• Stakeholder engagement plan with the City <br />• The City and Project Manager may add/modify scope and tasks as needed <br />Construction of the Project is anticipated to commence in 2026 and be completed in 2027.
