1 Agreement No. 2025-02 <br />SECTION G-51 TIME EXTENSION AND AMENDMENT <br />TO <br />BILL OF SALE AND CONTRACT FOR FOREST PRODUCTS (CONTRACT) <br />SALE NAME: 2025 CHAPLAIN BLOWDOWN SALVAGE <br />CITY OF EVERETT (CITY) AND CHERRY VALLEY LOGGING COMPANY (PURCHASER), <br />AGREE AS FOLLOWS: <br />Contract Section G-51 states that the Contract term may be extended for a reasonable time by the <br />City if all of the conditions in Section G-51 are satisfied. The following table states each condition <br />and the City and Purchaser’s agreement thereto: <br />Section G-51 Condition Agreement Regarding Satisfaction of <br />Condition <br />a. A written request for extension of the <br />Contract term must be received prior to <br />the expiration date of the Contract. <br />Condition a. is satisfied. <br />b. Completion of all required roads and <br />compliance with all Contract and <br />regulatory requirements. <br />Condition b. is deemed satisfied solely for the <br />purpose of granting this time extension. City <br />waives no rights with respect to any unfinished <br />work or any non-compliance with any Contract <br />or regulatory requirement. <br />c. For the first extension, not to exceed 1 <br />year, payment of at least 90 percent of the <br />Total Estimated Value of Sale. <br />Purchaser has paid (or will pay as set forth <br />below) $240.00. This amount is equal to 90% <br />of the total estimated value of the sale based on <br />current estimated quantities (mbf) of species. <br />This payment, solely for the purpose of granting <br />this time extension, is deemed to satisfy <br />condition c. This does not amend “Total <br />Estimated Value of Sale” as defined in the <br />Contract or anything else in the Contract.
