NO EXCISE TAX EVERETT <br /> REQUIRED WASHINGTON <br /> OCT 2 4 2025 BILL OF SALE <br /> BRIAN SULLIVAN,Snohomish Coun Trea er <br /> By, BRIAN SULLIVAN r a <br /> This Bill of Sale is dated f_o eference purposes as of 6c,iroat,r l'J , 2025, and is between <br /> PORT OF EVERETT, a Washington port district("Grantor"), and CITY OF EVERETT, a Washington municipal <br /> corporation ("City"). <br /> RECITALS <br /> A. Grantor and the City intend that the following improvements be conveyed to the City (the <br /> "Improvements"): <br /> The sewer lines and associated facilities and equipment located in the easement area identified <br /> in that certain Utility Easement and Agreement (Sewer) dated°Jobe - 232025. <br /> B. Grantor and the City desire to enter into this Bill of Sale to complete the conveyance of the <br /> Improvements according to the terms and provisions provided herein. <br /> AGREEMENTS <br /> In consideration of the mutual covenants and promises contained in this Bill of Sale, the parties <br /> agree as follows: <br /> 1. Conveyance and Assignment. Effective as of the reference date above, Grantor hereby <br /> (1) conveys the Improvements at no cost, (2) assigns all warranties held by Grantor associated with the <br /> Improvements, and (3) warrants that the conveyance and assignment hereunder are free and clear of all <br /> deeds of trust,mortgages,mechanic's liens,attachment liens,judgment liens,execution liens, utility liens, <br /> security interests, claims, and other liens and encumbrances. <br /> 2. Legal Matters. The laws of the State of Washington shall govern this Bill of Sale and its <br /> validity,construction,and performance. Each party consents to venue in Snohomish County,Washington, <br /> for any legal proceeding arising under or by reason of this Bill of Sale.
