would reasonably be located within a roadway and public access area, including, by way of <br /> example, curb, sidewalks, planters, landscaping, and benches. <br /> (b) Grantor shall be solely liable for the costs of any repairs to any of the <br /> Utility Lines or improvements located within the Easement Area to the extent necessitated by <br /> the actions of the Grantor and/or the Grantor Parties. <br /> (c) Prior to any construction, work, or other activity that requires excavation <br /> or that may otherwise affect the Utility Lines (collectively, the "Grantor Work") which Grantor <br /> proposes to undertake within the Easement Area, Grantor shall provide to the City plans and <br /> specifications detailing the Grantor Work. The City shall review such plans and specifications <br /> and provide comments to Grantor with regard to modifications to be made to the Grantor <br /> Work to avoid interference with the Utility Lines or City's improvements; provided, however, <br /> that any such comments made by the City shall be for informational purposes only and shall not <br /> be deemed to be a warranty by the City for any purposes whatsoever. Further, this City review <br /> of the Grantor's plans and specifications shall not be deemed to impose any duty or obligation <br /> on the City to determine the adequacy or sufficiency of Grantor's plans and specifications nor <br /> whether the Grantor Work is in conformance with other applicable plans, codes and <br /> regulations. Review by the City to Grantor Work shall not in any manner be considered as <br /> imposing any obligation, duty or liability upon the City as to the safety or propriety of such <br /> Grantor Work. Prior to any excavation or activity impacting traffic which the City proposes to <br /> undertake within the Easement Area, the City shall obtain the Port's prior written approval and <br /> work in good faith to cooperate to accommodate any reasonable requests from the Port with <br /> respect to hours of work, traffic control, replacement of parking, and other reasonable <br /> conditions. For avoidance of doubt, no such approval will be required for emergency repair, <br /> reconstruction, or maintenance activities. <br /> 3. No Unauthorized Improvements. In the event Grantor performs any Grantor <br /> Work or otherwise installs any improvements upon the Easement Area without obtaining prior <br /> written approval of the City, Grantor shall cease all such activity and remove any and all <br /> 128399350.6 0073013-00075 <br />
