Page 20 of 45State of Washington Department of Ecology <br />Agreement No: <br />Project Title: <br />Recipient Name: <br />WQC-2026-EverPW-00408 <br />City of Everett Port Gardner Water Quality Program – Phase 2 Construction <br />City of Everett <br />Funding Distribution Summary <br />Recipient / Ecology Share <br />Recipient Share Ecology Share TotalRecipient Match %Funding Distribution Name <br />$$$%10,000,000.00 11,764,705.881,764,705.8815.00SFAP <br />Total $$1,764,705.88 10,000,000.00 $11,764,705.88 <br />AGREEMENT SPECIFIC TERMS AND CONDITIONS <br />N/A <br />SPECIAL TERMS AND CONDITIONS <br />WQC-2024—Water Quality Program Special Terms and Conditions (Update June 2023) <br />SECTION 1: DEFINITIONS <br />Unless otherwise provided, the following terms will have the respective meanings for all purposes of this agreement: <br />“Administration Charge” means a charge established in accordance with Chapter 90.50A RCW and Chapter 173-98 <br />WAC, to be used to pay Ecology’s cost to administer the State Revolving Fund by placing a percentage of the interest <br />earned in an Administrative Charge Account . <br />“Administrative Requirements” means the effective edition of ECOLOGY 's Administrative Requirements for <br />Recipients of Ecology Grants and Loans at the signing of this agreement. <br />“Annual Debt Service” for any calendar year means for any applicable bonds or loans including the loan, all interest <br />plus all principal due on such bonds or loans in such year. <br />“Average Annual Debt Service” means, at the time of calculation, the sum of the Annual Debt Service for the <br />remaining years of the loan to the last scheduled maturity of the loan divided by the number of those years. <br />“Accrued Interest” means the interest incurred as loan funds are disbursed. <br />“Acquisition” means the purchase or receipt of a donation of fee or less than fee interests in real property. These <br />interests include, but are not limited to, conservation easements, access/trail easements, covenants, water rights, <br />leases, and mineral rights. <br />“Build American Buy American (BABA)” means a portion of the Infrastructure Investment and Jobs Act and <br />establishes a domestic content procurement preference for all Federal financial assistance obligated for infrastructure <br />projects after May 14, 2022. <br />“Bipartisan Infrastructure Law (BIL)” means funding to improve drinking water, wastewater and stormwater <br />infrastructure. <br />“Centennial Clean Water Program” means the state program funded from various state sources . <br />“Contract Documents” means the contract between the RECIPIENT and the construction contractor for construction <br />of the project. <br />“Construction Materials” means an article, material, or supply (other than an item of primarily iron or steel; a <br />manufactured product; cement and cementitious materials; aggregates such as stone, sand, or gravel; aggregate <br />binding agents or additives; or non-permanent products) that is or consists primarily of, non-ferrous metals, plastic <br />and polymer-based products (including polyvinylchloride, composite building materials, and polymers used in fiber <br />Template Version 12/10/2020 <br />Docusign Envelope ID: D814CB0A-309D-42B0-8AE7-7273045711DF
