Signatures <br />Media Activity <br />Hold Harmless <br />Donation Processing, Donor Receipts, Costs to Participate <br />City of Everett <br />Cassie Franklin, Mayor <br />The undersigned have read, understand, and accept this agreement, and further warrant that they are <br />authorized to sign this agreement on behalf of their Shelter. By signing this agreement, all parties agree <br />to all of the aforementioned Terms. <br />The Shelter agrees to indemnify, defend and hold harmless HSSA and DonorCharm, its directors, <br />officers, agents, employees, and representatives from all liabilities, losses, claims, judgments, suits, fines, <br />penalties, demands, or expenses that may relate to, result from or arise out of the Shelter’s participation <br />in the Contest, including but not limited to attorney’s fees and costs, to the fullest extent permitted by <br />applicable law. <br />The validity, construction, and performance of this agreement shall be governed and construed in <br />accordance with the laws of the State of Arizona. <br />All online donations must be received through each individual shelter’s Stripe online donation app. <br />Donations will be paid directly through Stripe to the individual shelter. <br />The Shelter will receive 85.5% of the net donation, with HSSA and DonorCharm retaining 14.5% as an <br />administrative and creative fee associated with the execution of the Contest and also to cover any <br />processing fees not covered by donors. <br />DonorCharm will provide donors with email receipts at the time of their donation. The electronic tax <br />receipt language will include identifying information so the donor will know which Shelter they have <br />donated to. DonorCharm will also provide all participating Shelters a list of all their donors through the <br />back end of each individual fundraising or landing page. We recommend that the shelters send thank <br />you acknowledgments from them directly. No other shelter will receive this donor information. <br />DonorCharm is not responsible for a donor entering their email address incorrectly and therefore not <br />receiving a receipt, but we will try to help rectify this if it should happen. <br />Beyond the retention of the 14.5% administrative, there is no cost for Shelters to participate in the <br />Contest. <br />By participating in this Contest, you agree and hereby grant HSSA and DonorCharm permission to use, <br />copy, modify, distribute, and publicly display Contest results and data for any purpose, such as, but not <br />limited to, press and media communications, without any compensation or attribution to you. You also <br />agree to participate in any media or promotional activity regarding the Contest. <br />Attest: <br />Office of the City Clerk
