Exhibit A to Lease Assignment and Assumption <br />SECOND LEASE AMENDMENT AND EXTENSION <br />This SECOND LEASE AMENDMENT AND EXTENSION ("the Second Amendment") is <br />made and entered into on this 30th day of"Rile , 2022 ("the Effective Date") by and <br />between TOM WALKER and CHARLOTTE WALKER, husband and wife ("the Landlord") and <br />CONSOLIDATED ELECTRIC DISTRIBUTORS, INC., a Delaware corporation ("the Tenant") with <br />respect to that certain Commercial Lease dated November 9, 2012 ("the Lease") and the First Lease <br />Amendment and Extension dated the 24th day of July, 2018, with regard to premises located at 3310 <br />Paine Avenue, Everett, Washington, consisting of an approximately 13,500 square foot building <br />located on 10,890 square feet of land ("the Premises"), to which Lease and First Amendment <br />Landlord and Tenant are parties: <br />WITNESSETH <br />WHEREAS, Landlord and Tenant wish to amend and extend the Lease and First Lease <br />Amendment and Extension: <br />NOW, THEREFORE, for and in consideration of mutual covenants contained herein, <br />Landlord and Tenant agree that the Lease, as amended by the First Lease Amendment and Extension, <br />shall be modified and amended as follows: <br />1. TERM. The term of the Lease shall be extended for a period of four (4) years <br />commencing January 1, 2023 and expiring December 31, 2026 (the "Second Extended Term") upon <br />the same terms and conditions as the existing Lease as amended by the First Lease Amendment and <br />Extension, except as modified herein. <br />2. RENT. The monthly Rent payable by Tenant to Landlord during the Second <br />Extended Term shall be according to the following schedule: <br />Lease Year (stated in years and months): <br />January 1, 2023 to December 31, 2023: <br />January 1, 2024 to December 31, 2024: <br />January 1, 2025 to December 31, 2025: <br />January 1, 2026 to December 31, 2026: <br />Monthly kat <br />$7,400.00 <br />$7,622.00 <br />$7,850.66 <br />$8,086.18 <br />3. No Etter Options to Extend Term. Tenant shall have no further options to renew the <br />Lease, <br />4. First flight of Refusal to Purchase 1t.eal PropaVi. If Landlord decides (in its sole and absolute discretion) that it is <br />interested in selling the Property during the Term of this Lease (including any extension thereof), <br />and provided Tenant is not in default of the Lease and has faithfully performed the terms and <br />conditions of this Second Lease Amendment and Extension, then the following will apply. Prior to <br />offering the Property for sale generally, Landlord will offer to sell the Property to Tenant by written <br />notice (the Offer Notice). The Offer Notice shall specify an all cash purchase price Landlord is <br />prepared to accept for the Property (the Offered Price), in "as is" condition and shall be in the form <br />GPC/16298/0003/01148580.v I <br />
