Exhibit A to Lease Assignment and Assumption <br />COMMERCIAL LEASE <br />THIS LEASE is made the date indicated below by and between TOM WALKER and <br />CHARLOTTE WALKER, husband and wife ("Landlord") and CONSOLIDATED <br />ELECTRICAL DISTRIBUTORS, INC., a Delaware corporation ("Tenant"). <br />1. Premises. Landlord hereby leases to Tenant and Tenant hereby leases from <br />Landlord those certain Premises commonly known as 3310 Paine Street, Everett, Washington, <br />98201, consisting of approximately 9,000 square feet, and legally described on Exhibit A <br />attached hereto (the "Premises"), <br />2. Term. The term of this Lease shall be for a period of six (6) years from the date <br />of commencement with an option to renew for one additional four (4) year period as provided in <br />Paragraph 21 below. The date of commencement is January 1, 2013 (the "Commencement <br />Date"), and the expiration date is December 31, 2018. Provided, however, Tenant may occupy <br />the Premises prior to said Commencement Date and Tenant shall not be liable for payment of <br />rent, charges or expenses, except for utilities, as may be provided in this Lease during such <br />period of early occupancy.. <br />3. Rent. <br />3.1 Monthly Rental. Tenant shall pay to Landlord the following amounts as <br />rent for the Premises to the address noted in the signature block of this Lease, or at such other <br />place or manner as the Landlord may hereinafter designate. Payment of rent shall be made, <br />without offset or deduction, except as otherwise provided herein, to Landlord, on or before the <br />first (151) day of each calendar month of the term of this Lease in the following amounts: <br />3.1.1 Months 1 - 24. Rent for the period of January 1, 2013.through <br />December 31, 2014 shall be in the sum of $5,000.00; <br />3.1.2 Months 2_48. Rent for January 1, 2015 through December 31, <br />2016 shall be in the sum of $5,300.00; <br />3.1.3 Months 49 - 72. Rent for the period of January 1, 2017 through <br />December 31, 2018 shall be in the sum of $5,600.00. <br />4. Security Deposit. Tenant shall deposit with Landlord , within ten (10) days after <br />receipt of a fully executed Lease, a security deposit in the amount of Five Thousand Dollars <br />($5,000.00) as security for Tenant's faithful performance of Tenant's obligations hereunder. if <br />Tenant fails to pay rent or other charges due hereunder, or otherwise defaults with respect to any <br />provision of this Lease, Landlord may use, apply or retain all or any portion of said deposit for <br />the payment of any rent or other charge in default or for the payment of any other sum to which <br />Landlord may become obligated by reason of Tenant's default, or to compensate Landlord for <br />any loss or damage which Landlord may suffer thereby.
