Category 2: Sensitive information <br />SNOHOMISH COUNTY 9-1-1 <br />MASTER LICENSE AGREEMENT <br />This MASTER LICENSE AGREEMENT ("Agreement"), by and between SNOHOMISH <br />COUNTY 9-1-1, a Washington inter -local non-profit corporation ("Licensor"), and Everett <br />Police Department, a Washington city ("Licensee"). Licensor and Licensee may be referred <br />to where appropriate individually as a "Party" or collectively as the "Parties." <br />WITNESSETH: <br />WHEREAS, Licensor owns or has other legal rights to certain property (land, <br />improvements to that land, and structures on that land); and <br />WHEREAS, Licensee wishes to obtain a non-exclusive license to use certain portions <br />of Licensor's property for purposes of locating unmanned communications and direct support <br />equipment and related Licensee -owned buildings, shelters, antennae support structures and <br />utilities, all as more specifically described in the applicable Site License Agreement <br />("Communications Facilities") on such property; and <br />WHEREAS, the specific portion of Licensor's property at each individual location <br />licensed to Licensee will be referred to individually as a "Site" and collectively as the "Sites" <br />as identified in this Agreement; and <br />WHEREAS, Licensor and Licensee both agree to cooperate consistent with the terms <br />of this Agreement to allow Licensee to locate its Communications Facilities on the property. <br />NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement <br />and other good and valuable consideration, the Parties agree as follows: <br />1. ENTIRE LICENSE AGREEMENT <br />This Agreement contains the terms and conditions upon which each Site is licensed by <br />Licensor to Licensee When the Parties agree on the particular terms for a Site, the Parties <br />will execute a completed Site License Acknowledgment ("SLA") in the form attached as <br />Exhibit A. Each executed SLA is deemed to be a part of this Agreement. The specific terms <br />and conditions of each SLA will govern and control if there is a discrepancy or inconsistency <br />between the terms and conditions of any SLA and this Agreement. Licensee may record a <br />memorandum of the SLA Upon termination of the SLA for any reason, Licensee will record <br />a.notice of termination of the SLA if Licensee previously recorded a memorandum of the SLA. <br />2. USE <br />Subject to the terms and conditions contained in this Agreement and the SLA relating to the <br />Site, Licensor grants a license to Licensee and Licensee accepts a license from Licensor for <br />SNO911 Master License Agreement 2025 Page 1 <br />Category 2: For official use only / disclosure permissible by law. <br />
