2 <br />Licensee may install a fence to secure the open space at the north side of <br />the buildings. <br /> <br />Licensee may make repairs necessary to secure and use the buildings and <br />surrounding grounds, consistent with Approved Use. <br /> <br />B. GENERAL LICENSE CONDITIONS <br />Unless specifically provided otherwise in the Specific License Provisions, the following <br />provisions apply: <br />1. LICENSED PROPERTY. <br />(a) The City licenses to Licensee the Licensed Property. Licensee has examined <br />the Licensed Property and is in all respects familiar with the Licensed Property and the <br />improvements in the Licensed Property. Licensee accepts the Licensed Property and its <br />improvements in their “as is” condition. <br />(b) The Licensed Property is located on real property owned by the City and <br />on City right of way. This License is therefore also a right-of-way permit for use of the Licensed <br />Property as may be required by applicable law. <br />2. TERM. The Term of this License is as set forth in Part A, unless terminated earlier <br />as set forth in this License. <br />3. TERMINATION. <br />(a) For Convenience. Either party may terminate this License at any time and <br />for any reason effective upon 90-days prior written notice to the other party. If the License is so <br />terminated for convenience by the City, the City will compensate Licensee an amount equal to <br />the fair market value of the remaining useful life of improvements to the Licensed Property that <br />were constructed by Licensee at Licensee’s cost. <br />(b) The City may also terminate this License effective upon 30-days written <br />notice to Licensee in the event of material breach of this License. This right is in addition to any <br />other rights at law or in equity. <br />4. MUTUAL BENEFITS. This License is for mutual benefits, which the parties hereto <br />agree with the other promises and covenants herein is sufficient and adequate consideration for <br />this License. <br />5. USE. Licensee shall use the Licensed Property only for the Approved Use stated in <br />Part A. Licensee shall not use or permit the use of the Licensed Property for any other use without <br />the prior written consent of the City, which may be withheld at the City’s sole discretion. The <br />Approved Use shall not interfere in any way with any the City use of the Licensed Property, <br />including without limitation utilities and travel.
