TERMINATION PROCEDURES <br />In addition to the procedures set forth below, if the Organization terminates this Agreement, the Subrecipient <br />shall follow any procedures specified in the termination notice. Upon termination of this Agreement, the <br />Organization may require the Subrecipient to deliver to the Organization any property specifically produced <br />or acquired for the performance of such part of this Agreement as has been terminated. <br />After receipt of a notice of termination, and except as otherwise directed by the Organization in writing, the <br />Subrecipient shall: stop work under the Agreement; place no further orders or contracts for materials or <br />services; assign rights to the Organization; settle all outstanding liabilities; transfer title to the Organization; <br />complete performance of such part of the work not terminated; and take action for the protection and <br />preservation of the property related to this Agreement. <br />35. MINORITY AND WOMEN-OWNED BUSINESS ENTERPRISES <br />In accordance with Chapter 39.19 RCW, the state of Washington encourages participation in all its contracts <br />by MWBE firms certified by the Office of Minority and Women's Business Enterprises (OMWBE). Voluntary <br />numerical MWBE participation goals have been established: Minority Business Enterprises (MBE's): 10% <br />and Women's Business Enterprises (WBE's): 6%. <br />36. VENUE <br />This Agreement shall be construed and enforced in accordance with, and the validity and performance shall <br />be governed by, the laws of the state of Washington and all applicable federal laws. Except as provided <br />otherwise herein, venue for any dispute between the parties arising out of this Agreement shall be in King <br />County, Washington. <br />37. WAIVERS <br />No conditions or provisions of this Agreement can be waived unless approved in advance by the <br />Organization in writing.
