Neither party shall issue or <br />release any announcement, statement, press release, or other <br />publicity or marketing materials relating to this Agreement or, <br />unless expressly permitted under this Agreement, otherwise use <br />the other party's trademarks, service marks, trade names, logos, <br />domain names, or other indicia of source, association, or <br />sponsorship, in each case, without the prior written consent of the <br />other party, which consent shall not be unreasonably withheld; <br />provided, however, that Govstream may, without the City’s <br />consent, include the City’s name and other indicia in its lists of <br />Govstream’s current or former customers of Govstream in <br />promotional and marketing materials. <br /> <br />12.13 Counterparts. This Agreement may be executed in any <br />number of counterparts and by electronic signature (as set forth in <br />the U.S. Electronic Signatures in Global and National Commerce <br />Act (a.k.a. “E-SIGN”)), each of which counterparts, when so <br />executed and delivered, shall be deemed to be an original, and all <br />of which counterparts, taken together, shall constitute one and the <br />same instrument. <br /> <br />12.14 Headings. The headings in this Agreement are inserted <br />for reference and convenience only and will not enter into the <br />interpretation hereof.
