other temporary construction easements and rights to enter each other's Riverfront properties at <br /> reasonable times and with reasonable notice, as reasonably necessary to construct roadways and <br /> associated improvements and utilities called for in the PDA. If either party determines that more <br /> formal documentation of these temporary easements and rights of entry are required, the parties <br /> will reasonably cooperate to execute the formal documentation. If the City requires such rights <br /> on the Mill Site or the Simpson Pad, Developer will cooperate with the City to procure such <br /> rights from the Mill Site Owner and Simpson Pad Owner. <br /> 5. Lot 32 Housekeeping Correction. The legal descriptions in the PDA are revised <br /> so that Lot 32A is part of the Mill Site and Lot 32B is part of the Landfill Pad. <br /> 6. Deadline Extension. The deadline for the Minimum Retail Element proposal in <br /> Section 2.C(4) of the Seventh Amendment is extended from March 31, 2015 to December 31, <br /> 2016. <br /> 7. PSE Easement. The City will grant to Puget Sound Energy, Inc. a utility <br /> easement, as previously agreed between the parties, over a portion of the parcel with tax parcel <br /> number 29052900401000. <br /> 8. Wetland C. The City has completed 90%design level plans and specifications for <br /> work in Wetland C, which is shown in the plan set by MacLeod Reckord dated February 2014. <br /> The City will substantially complete such work by December, 2016. <br /> 9. Capitalized Terms. All capitalized terms used herein and not otherwise defined <br /> shall have the meaning set forth in the PDA. <br /> 10. Other. Except as expressly modified in this Eighth Amendment, the PDA shall <br /> remain in full force and effect and the parties hereto acknowledge, confirm and ratify all of the <br /> terms and conditions of the PDA. <br /> EXECUTED as of the date first above written by duly authorized officers of the parties <br /> hereto, intending to be legally bound hereby. <br /> [SIGNATURE PAGES FOLLOW] <br /> 4 <br />
