Section 7.06. Notices to Rating Agencies. The City shall give immediate notice to each Rating Agency if: (a) The Remarketing Agent or the Registrar resigns or is replaced; (b) This ordinance is amended or supplemented; (c) An Alternate Credit Facility is provided; (d) The Bonds are converted to the Fixed Mode; (e) There has been a redemption or defeasance of the Bonds in whole; (f) A Mandatory Purchase Date has occurred as a result of the nonreinstatement of the Letter of Credit or an event of default under the Reimbursement Agreement; or (g) The Remarketing Agreement, the Reimbursement Agreement or the Letter of Credit is amended, supplemented, extended, terminated or expired or replaced. Section 7.07. Amendments Without Registered Owners' Consent. This ordinance may be amended or supplemented from time to time, without the consent of the Registered Owners by a supplemental ordinance adopted by the Council for one or more of the following purposes: (a) to add additional covenants of the Council or to surrender any right or power herein conferred upon the City; or (b) to cure any ambiguity or to cure, correct or supplement any defective (whether because of any inconsistency with any other provision hereof or otherwise) provision of this ordinance in such manner as shall not be inconsistent with this ordinance or to make any other provisions with respect to matters or questions arising under this ordinance, provided such -51- P\CMW\CMW4ZL 11/20/01
