the residents of the City and Snohomish County generally. The District and the City also <br /> recognize, as described in the Feasibility Analysis, that the financial and other terms of the <br /> principal management and operational contracts for use of the Regional Center are critical to the <br /> financial success of the Regional Center. Therefore, the District shall cause the Regional Center <br /> to be managed and operated in accordance with the following provisions. <br /> 6.1 City Rights Respecting Principal Contracts. Prior to the proposed <br /> effective date thereof, the District shall consult with the City representative and any committee <br /> of the City Council appointed by the City Council President concerning the following principal <br /> management and operational contracts, including any renewal or major amendment thereto, that <br /> involve use of the Regional Center(the "Principal Contracts"), as described below: <br /> 6.1.1 Any management contract with a professional management firm or <br /> individual professional manager providing for overall management of the Regional Center on <br /> behalf of the District(the"Management Contract"); <br /> 6.1.2 The lease and any other related agreements with the "anchor <br /> tenant" or primary user of the Regional Center, currently expected to be a hockey team <br /> participating in either the West Coast Hockey League or the Western Hockey League (the <br /> "Anchor Tenant Contract"); <br /> 6.1.3 Concession agreements with suppliers of food and beverages at the <br /> Regional Center, including"pouring rights" agreements; <br /> 6.1.4 Any "naming rights" agreement with respect to the Regional <br /> Center(the "Naming Rights Contract"); and <br /> 6.1.5 The forms of agreements and associated schedules of rents, fees <br /> and/or prices for the lease or other use of luxury suites and club seats at the Regional Center. <br /> In conjunction with such consultation, at least 10 days before the proposed effective date of the <br /> Principal Contract, the District shall provide to the City for its review the proposed form of each <br /> Principal Contract, together with a summary of the financial provisions thereof. If the City <br /> representative and/or the appointed Council Committee objects to any material financial, <br /> management or operating principles contained in any Principal Contract, the District shall meet <br /> with the City representative and/or the Council Committee to discuss and mutually address the <br /> City's objections prior to the proposed effective date of that Principal Contract. <br /> 6.2 Operating Budget of Regional Center. The District shall prepare and <br /> provide to the City at least 30 days before adoption the proposed annual operating budget of the <br /> Regional Center prior to its adoption and approval by the Board of Directors of the District, and <br /> the City shall be provided with a reasonable opportunity to review and comment on the annual <br /> operating budget.
