franchise fees; revenue from interactive services to the extent they are considered Cable Services <br /> under federal law or under State law if so authorized by federal law; revenue from the sale or <br /> carriage of other Cable Services; and revenue from home shopping and other revenue-sharing <br /> arrangements. Gross Revenues shall include revenue received by any entity other than the Grantee <br /> where necessary to prevent evasion or avoidance of the obligation under this Franchise to pay the <br /> franchise fees. Gross Revenues shall not include (i) the initial Capital Contribution specified in <br /> SECTION 9. ACCESS; (ii) Bad Debt; provided, however, that all or part of any such Bad Debt <br /> that is written off but subsequently collected shall be included in Gross Revenues in the period <br /> collected; or(iii) any taxes on services furnished by the Grantee which are imposed directly on any <br /> Subscriber or user by the State, City or other governmental unit and which are collected by the <br /> Grantee on behalf of said governmental unit. The franchise fees are not such a tax and are therefore <br /> included in the Gross Revenue calculation. <br /> 1.28 "Headend" means any facility for signal reception and dissemination on a Cable System, <br /> including cables, antennas, wires, satellite dishes, monitors, switchers, modulators and all other <br /> related equipment and facilities. <br /> 1.29 "Huh" means an intermediary exchange point in the signal distribution portion of the Cable <br /> System, located between the Headend and the Nodes. <br /> 1.30 "incremental Costs" means the direct and actual material and labor cost (excluding profit) of <br /> constructing, relocating or placing additional ducts, conduit or related structures by Grantee for the <br /> City, excluding the costs of design, trenching, boring, pipe bedding, backfilling, compacting, <br /> restoring the surface, and other charges, costs or expenses that Grantee would incur anyway to <br /> construct,relocate or place its own ducts, conduit or related structures. <br /> 1.31 "Institutional Network" or "I- Net" means that part of the Cable System facilities or capacity <br /> designated for non-commercial communications to, from and among government agencies, schools, <br /> libraries and other public agencies. <br /> 1.32 "Tnterconnect" or "Tnterconnection" means the linking of the Cable System's Access <br /> Channels with the access channels of another geographically contiguous cable system, including <br /> technical, engineering, physical, financial and other necessary components to accomplish, complete <br /> and adequately maintain such linking, in a manner that permits the transmission and receiving of <br /> Access programming between the Cable System and other cable systems. <br /> 1.33 "T,eased Access Channel" means any Channel or portion of a Channel commercially <br /> available for programming by Persons other than Grantee, for a fee or charge. <br /> 1.34 "Node" means an exchange point in the signal distribution system portion of the Cable <br /> System,where in the case of the Subscriber Network, optical signals are converted to RF signals. <br /> 1.35 "Person" means any individual, sole proprietorship, partnership, association, or corporation, <br /> or any other form of entity or organization. <br /> Page 10 of 58 <br />
