thousand dollars ($500,000.00) excess liability. Such insurance shall name the City, City
<br /> Council, and the City's officers, officials, boards, commissions, agents, representatives,
<br /> volunteers and employees as additional insureds. The policy shall contain a severability of
<br /> interests provision.
<br /> (2) Commercial Automobile Liability insurance with minimum combined single
<br /> limits of two million five hundred thousand dollars ($2,500,000.00) each occurrence and
<br /> five hundred thousand dollars ($500,000.00) excess liability with respect to each of
<br /> Grantee's owned, hired and non-owned vehicles assigned to or used in the operation of the
<br /> Cable System in the City. The policy shall contain a severability of interests provision.
<br /> (3) Employer's Liability with limits of at least one million dollars
<br /> ($1,000,000.00).
<br /> (4) Workers' Compensation insurance shall be maintained during the life of this
<br /> Franchise to comply with statutory limits for all employees.
<br /> (B) Each policy shall provide that the insurance shall not be canceled or terminated so as
<br /> to be out of compliance with these requirements without forty-five (45) days' written notice first
<br /> provided to the City, via mail, and ten (10) days' notice for nonpayment of any premium. If the
<br /> insurance is canceled or terminated so as to be out of compliance with the requirements of this
<br /> Franchise, Grantee shall provide a replacement policy. Grantee agrees to maintain continuous
<br /> uninterrupted insurance coverage, in at least the amounts required, for the duration of this Franchise
<br /> and, in the case of Commercial General Liability insurance, for at least one (1) year after expiration
<br /> of this Franchise.
<br /> 5.3 Endorsements/Coverage
<br /> (A) Endorsements
<br /> (1) All policies shall contain, or shall be endorsed so that:
<br /> (a) The City, City Council, and the City's officers, officials, boards,
<br /> commissions, agents, representatives, volunteers and employees are to be covered
<br /> as, and have the rights of, additional insureds with respect to liability arising out of
<br /> activities performed by, or on behalf of, Grantee under this Franchise or applicable
<br /> law, or in the construction, operation, upgrade, maintenance, repair, replacement or
<br /> ownership of the Cable System;
<br /> (b) Grantee's insurance coverage shall be primary insurance with respect
<br /> to the City, City Council, and the City's officers, officials, boards, commissions,
<br /> agents, representatives, volunteers and employees. Any insurance or self-insurance
<br /> maintained by the City, City Council, and the City's officers, officials, boards,
<br /> commissions, agents, representatives, volunteers or employees shall be in excess of
