9.4 Access Channels <br /> Grantee shall, at its expense, initially provide at least two (2) Access Channels. As of the <br /> Effective Date, these Access Channels shall be allocated as follows: one (1) Educational Access <br /> Channel and one(1) Government Access Channel. <br /> To the extent allowed by law, the City agrees to indemnify, save and hold harmless the <br /> Grantee from and against any and all liability resulting from the City's use of the government <br /> Access Channel, or another Access Channel if the City exercises direct editorial control thereof. By <br /> way of example only, the City does not exercise editorial control over Educational Access <br /> Channels. <br /> 9.5 Change In Technology <br /> In the event Grantee makes any change in the Cable System and related equipment and <br /> facilities or in Grantee's signal delivery technology, which directly or indirectly affects the signal <br /> quality or transmission of Access services or programming, Grantee shall at its own expense take <br /> necessary technical steps or provide necessary technical assistance, including the acquisition of all <br /> necessary equipment and full training of Access personnel, to ensure that the capabilities of Access <br /> services are not diminished or adversely affected by such change. For example, this provision shall <br /> apply if the Cable System is converted from an analog to a solely digital format, such that the <br /> Access Channels must also be converted to digital in order to be received by Subscribers. <br /> 9.6 Underutilized Access Channels <br /> Grantee and the City agree that it is their mutual goal to fully and efficiently use the <br /> Channel capacity of the Cable System, which may include allowing the Grantee to use <br /> underutilized time on Access Channels. If Grantee believes that any Access Channel has <br /> underutilized time, Grantee may file a request with the City to use that time. In response to the <br /> request, the City will consider a combination of factors, including but not limited to, the <br /> community's needs and interests, and the source, quantity, type and schedule of the programming <br /> carried on the Access Channel. The City will also consider, taking into account the mission of the <br /> Access programming, whether it is feasible for the Designated Access Providers to cluster Access <br /> programming into blocks of time such that the Channel space can be compatibly shared between <br /> the Designated Access Provider and the Grantee and/or if several Designated Access Providers can <br /> combine their programming onto a single Access Channel. The City shall render its decision <br /> regarding the matter within sixty (60) days of receiving the request. Should the City find that the <br /> Access Channel or portion of the Access Channel may be used by the Grantee, then Grantee may <br /> begin using such time ninety(90) days after receipt of the decision. The Grantee's request shall not <br /> be unreasonably denied. Any permission granted pursuant to this subsection for use of an Access <br /> Channel or a portion thereof shall be considered temporary. <br /> At such time as a Designated Access Provider believes that it has the resources and ability <br /> to utilize the Access Channel time currently used by the Grantee pursuant to this subsection, a <br /> Designated Access Provider may request that the City return such Channel or portion of the <br /> Page 31 of 58 <br />
