transfer or change in control upon such terms and conditions as it deems reasonably appropriate; <br /> provided,however, any such terms and conditions so attached shall be related to the legal,technical <br /> and financial qualifications of the prospective controlling party or transferee. Additionally, such <br /> Person shall effect changes as promptly as practicable in the operation of the Cable System, if any <br /> changes are necessary to cure any violations or defaults presently in effect or ongoing. <br /> (H) Notwithstanding anything to the contrary in this subsection,the prior approval of the <br /> City shall not be required for any sale, assignment or transfer of the Franchise or Cable System to <br /> an intra-company Affiliate; provided that the proposed assignee or transferee must show financial <br /> responsibility as may be determined necessary by the City and must agree in writing to comply with <br /> all of the provisions of the Franchise. Further, Grantee may pledge the assets of the Cable System <br /> for the purpose of financing without the consent of the City; provided that such pledge of assets <br /> shall not impair or mitigate Grantee's responsibilities and capabilities to meet all of its obligations <br /> under the provisions of this Franchise. <br /> SECTION 17. SEVERABILITY <br /> If any Section, subsection, paragraph or provision of this Franchise is determined to be <br /> illegal, invalid or unconstitutional by any court or agency of competent jurisdiction, such <br /> determination shall have no effect on the validity of any other Section, subsection, paragraph or <br /> provision of this Franchise, all of which will remain in full force and effect for the term of the <br /> Franchise. <br /> SECTION 18. MISCELLANEOUS PROVISIONS <br /> 18.1 Equal Employment and Non-discrimination <br /> Throughout the term of this Franchise, Grantee shall fully comply with all equal <br /> employment and non-discrimination provisions and requirements of federal, State and local laws, <br /> and in particular,FCC rules and regulations relating thereto. <br /> 18.2 Local Employment Efforts <br /> Grantee shall use reasonable efforts to utilize qualified local contractors, including minority <br /> business enterprises and woman business enterprises, whenever the Grantee employs contractors to <br /> perform work under this Franchise. <br /> 18.3 Notices <br /> Throughout the term of the Franchise, each party shall maintain and file with the other a <br /> local address for the service of notices by mail. All notices shall be sent postage prepaid to such <br /> respective address and such notices shall be effective upon the date of mailing. These addresses <br /> may be changed by the City or the Grantee by giving written notice to the other at any time. At the <br /> Effective Date of this Franchise: <br /> Page 55 of 58 <br />
