ORDINANCE NO. 2660-02 AN ORDINANCE CONSENTING TO TRANSFER OF TELECOMMUNICATIONS FRANCHISE WHEREAS, the City granted Advanced TelCom, Inc., dba Advanced TelCom Group ("Franchisee"), a franchise to provide telecommunications services in the City in Ordinance no. 2510-01; and WHEREAS, Franchisee filed for protection under Chapter 11 of the United States Bankruptcy Code to reorganize; and WHEREAS, GE Business Productivity Solutions ("Transferee"), a Georgia corporation and wholly owned subsidiary of General Electric Company, is willing to purchase the franchise from Franchisee ("Transfer"); and WHEREAS, Franchisee asked the City to approve the Transfer; and WHEREAS, the City is willing to consent to the Transfer upon certain conditions; NOW, THEREFORE, THE CITY OF EVERETT DOES ORDAIN: Section 1. The City hereby consents to the Transfer in accordance with the terms of applicable law, subject to the conditions stated below. Section 2. By consenting to the Transfer, the City does not waive or release any rights of the City in and to the streets, nor does the City waive or release any claim or issue it may have, known or unknown, now or in the future, against the Franchisee or any successor. Section 3. This Ordinance, and the City's consent to the Transfer, shall be effective when all of the following have occurred: (a)the expiration of thirty days after the adoption of this Ordinance Consenting to Transfer of Telecommunications Ordinance Page 1 of 2 DCO1/SIFER/191100 1
