ORDINANCE NO. 2660-02 <br /> AN ORDINANCE CONSENTING TO TRANSFER OF TELECOMMUNICATIONS FRANCHISE <br /> WHEREAS, the City granted Advanced TelCom, Inc., dba Advanced TelCom Group <br /> ("Franchisee"), a franchise to provide telecommunications services in the City in Ordinance no. <br /> 2510-01; and <br /> WHEREAS, Franchisee filed for protection under Chapter 11 of the United States <br /> Bankruptcy Code to reorganize; and <br /> WHEREAS, GE Business Productivity Solutions ("Transferee"), a Georgia corporation and <br /> wholly owned subsidiary of General Electric Company, is willing to purchase the franchise from <br /> Franchisee ("Transfer"); and <br /> WHEREAS, Franchisee asked the City to approve the Transfer; and <br /> WHEREAS, the City is willing to consent to the Transfer upon certain conditions; <br /> NOW, THEREFORE, THE CITY OF EVERETT DOES ORDAIN: <br /> Section 1. The City hereby consents to the Transfer in accordance with the terms of <br /> applicable law, subject to the conditions stated below. <br /> Section 2. By consenting to the Transfer, the City does not waive or release any rights of <br /> the City in and to the streets, nor does the City waive or release any claim or issue it may have, <br /> known or unknown, now or in the future, against the Franchisee or any successor. <br /> Section 3. This Ordinance, and the City's consent to the Transfer, shall be effective when <br /> all of the following have occurred: (a)the expiration of thirty days after the adoption of this <br /> Ordinance Consenting to Transfer of Telecommunications Ordinance <br /> Page 1 of 2 <br /> DCO1/SIFER/191100 1 <br />
