Agreement may not be modified or amended except by written agreement signed and <br /> acknowledged by both parties; (d) exclusive venue for any dispute is Snohomish County <br /> Superior Court; and (e) nothing contained herein shall create the relationship of principal <br /> and agent or of partnership or of joint venture between the parties hereto and no <br /> provisions contained herein shall be deemed to create any relationship other than that of <br /> Grantor and Grantee. <br /> b. Attorney's Fees. In the event of any dispute arising out of or <br /> relating to this Agreement, whether or not suit or other proceedings is commenced, and <br /> whether in mediation, arbitration, at trial, on appeal, in administrative proceedings, or in <br /> bankruptcy (including, without limitation, any adversary proceeding or contested matter <br /> in any bankruptcy case), the prevailing party shall be entitled to its costs and expenses <br /> incurred,including reasonable attorney fees. <br /> c. Counterparts. This instrument may be executed in any number <br /> of counterparts, each of which shall be an original,but all of which taken together shall <br /> constitute one and the same instrument. Delivery of an electronic signature (including <br /> email or facsimile) or other copy of a signed version of this Agreement shall have the <br /> same effect as delivery of an original. <br /> d. Entire Agreement. This Agreement contains the entire <br /> understanding and agreement among the parties with respect to the activities contained <br /> in this Agreement.
