9.9 Access to Books/Records <br /> Each party may, at reasonable times, inspect the books and records of the <br /> other party relating to performance of this Agreement. Each party shall keep <br /> all records required by this Agreement for five years after termination of this <br /> Agreement for audit or inspection by the other party. <br /> 9.10 Disposing of Assets <br /> The County and City shall each provide the other with a copy of all significant <br /> reports,plans, and other products produced in conjunction with this <br /> Agreement. Both parties shall have joint right of use of said documents <br /> without restriction. <br /> 9.11 Contingency and Termination in the Event of Lack of Funding <br /> The obligations of the County and City in this Agreement are contingent on <br /> the availability of funds through legislative appropriation and allocation in <br /> accordance with law. <br /> In the event funding is withdrawn, reduced or limited in any way after the <br /> effective date of this contract, the County or City may terminate the contract <br /> as follows, subject to renegotiation under those new funding limitations and <br /> conditions: <br /> 9.11.1 Either party may terminate its obligations under this Agreement <br /> upon 90 days advance written notice to the other party and <br /> subject to the following condition. <br /> 9.11.2 Following a termination, the County and City are mutually <br /> responsible for fulfilling any outstanding obligations and costs <br /> incurred under this Agreement prior to the effective date of the <br /> amendment or termination. <br /> 9.12 Limitations on Authority <br /> The parties understand that this Agreement does not impose on them in any <br /> obligation to exercise the authority or perform the functions of the other; and <br /> that neither party is relieved by this Agreement of any obligation or <br /> responsibility impressed upon it by law, except to the extent that actual and <br /> timely performance thereof is accomplished by the performance by both <br /> parties under this Agreement. <br /> 9.13 Severability <br /> If any provision of this agreement or its application to any person or <br /> circumstance is held invalid,the remainder of the provisions and/or the <br /> application of the provisions to other persons or circumstances shall not be <br /> affected. <br /> INTERLOCAL AGREEMENT FOR <br /> IMPLEMENTATION OF THE SMITH ISLAND RESTORATION PROJECT PAGE 15 <br />
