• <br /> F. Cost Sharing. <br /> 1. City Pays for Breach and Related Work in the Smith Island-City Area. <br /> The City will pay all expenses related to the Breach and Related Work in the Smith Island-City <br /> area, including for example all surveying, design, permitting, and construction costs. This <br /> includes all costs arising from or relating to any claims asserted against the County by <br /> construction contractors to the extent relating to the Breach and Related Work in the Smith <br /> Island-City Area. In the event of such a claim, the Parties will meet and confer, and the County <br /> will not settle such a claim without the prior approval of the City, which will not be unreasonably <br /> withheld. <br /> 2. Billing Procedure. The County will invoice the City for the Breach and <br /> Related Work in the Smith Island-City area. The Parties anticipate that the County will invoice <br /> the City as the County makes payments to the Breach and Related Work contractors. An invoice <br /> will document in reasonable detail the amounts expended by the County related to the Breach <br /> and Related Work in the Smith Island-City area. Upon completion and acceptance of the Breach <br /> and Related Work in the Smith Island-City area and resolution of contractor claims (if any),the <br /> parties will true-up the payments, so that the City has paid 100% of the expenses related to the <br /> Breach and Related Work in the Smith Island-City area. <br /> INTERGOVERNMENTAL AGREEMENT FOR <br /> IMPLEMENTATION OF THE SMITH ISLAND RESTORATION PROJECT PAGE 32 <br />
