and Omission Liability and Commercial General Liability Insurance will have a minimum rating of"A"by <br /> AM Best or its equivalent. SafeTec shall be responsible for maintaining insurance covering its personal <br /> property used by it in its work. Any modification or alteration of such coverage or program, which shall <br /> have a material effect on this Section 15,shall be promptly communicated to Customer. <br /> I5.3 IVlinimums. All insurance requirements set forth in this Section 15 are minimum <br /> required levels of insurance and are not intended as limits on SafeTec's liability to Customer for violations <br /> of any duties,responsibilities,or obligations of SafeTec as set forth in this Agreement and any attachments <br /> thereto. <br /> 16. Non-Exclusivity;None-Compete. SafeTec retains the right to perform the same or similar <br /> type of services for any and all third parties during the Term of this Agreement. <br /> 17. Force Maieure. <br /> 17.1 No Liability. Neither party shall not be liable or responsible to the other party, <br /> nor be deemed to have defaulted under or breached this Agreement,for any failure or delay in fulfilling or <br /> performing any term of this Agreement,when and to the extent such failure or delay is caused by or results <br /> from acts beyond the affected party's reasonable control, including,without limitation:acts of God;flood, <br /> fire or explosion;war, invasion, riot or other civil unrest,actions, embargoes or blockades in effect on or <br /> after the date of this Agreement;national or regional emergency;strikes, labor stoppages or slowdowns or <br /> other industrial disturbances;compliance with any law or governmental order,rule,regulation or direction, <br /> or any action taken by a governmental or public authority, including but not limited to imposing an <br /> embargo,export or import restriction,quota or other restriction or prohibition,or failing to grant a necessary <br /> license or consent; shortage of adequate power or telecommunications or transportation facilities; or any <br /> other event which is beyond the reasonable control of the party(each of the foregoing,a"Force Majeure <br /> Event"). A party whose performance is affected by a Force Majeure Event shall give notice to the other <br /> party,stating the period of time the occurrence is expected to continue and shall use diligent efforts to end <br /> the failure or delay and minimize the effects of such Force Majeure Event. <br /> 17.2 Termination. This Agreement shall not be regarded as terminated or frustrated as <br /> a result of such failure of performance that does not exceed two(2)months, and the parties shall proceed. <br /> under this Agreement when the causes of such non-performance have ceased or have been eliminated. <br /> 18. Miscellaneous. <br /> 18.1 Further Ass rances. Each party shall, upon the reasonable request of the other <br /> party,promptly execute such documents and perform such acts as may be necessary to give full effect to <br /> the terms of this Agreement. <br /> 18.2 Publicity. SafeTec and Customer agree that SafeTec may publicize the fact that <br /> Customer is a user of the Services in a mutually agreed upon initial press release. Thereafter, SafeTec will <br /> use Customer name only in a list of other SafeTec customers. Additional publicity, if any, will require <br /> Customer's prior written consent. <br /> 18.3 Notices. All notices, requests, consents, claims, demands, waivers and other <br /> communications hereunder shall be in writing and shall be deemed to have been given(a)when delivered <br /> by hand(with written confirmation of receipt);(b)when received by the addressee if sent by a nationally <br /> recognized overnight courier (receipt requested); (c)on the date sent by facsimile (with confirmation of <br /> transmission)if sent during normal business hours of the recipient,and on the next business day if sent after <br /> normal business hours of the recipient; or(d)on the third (3w) day after the date mailed, by certified or <br /> 2110321t2/V WG 1021 1-0003 <br /> PAGE 9--SAFETEC--MASTER SERVICES AGREEMENT <br />
