2 <br /> both parties. <br /> J. Assignment and Subcontracts. Neither party may assign this Agreement, <br /> or assign or subcontract all or any part of such party's rights or obligations under this Contract, <br /> without the prior written consent of the other party,which consent shall not be unreasonably <br /> withheld. Without in any way limiting the foregoing,this Contract shall be binding upon and <br /> shall inure to the benefit of the parties hereto and their respective successors and permitted <br /> assigns. <br /> K. Further Assurances. Each party hereto covenants and agrees to do all <br /> things necessary or advisable, including but not limited to the preparation,execution, delivery <br /> and recording of any instruments or agreements, in order to confirm and better assure the intent <br /> and purposes of this Contract. <br /> L. Counterparts. This Contract may be executed in two or more counterparts, <br /> each of which shall be deemed an original,but all of which together shall constitute one and the <br /> same instrument. <br /> M. Signature Authority. Each of the undersigned signatories represents and <br /> warrants that he or she has all necessary and proper authorization to execute and deliver this <br /> Contract on behalf of the party on behalf of which he or she is signing. <br /> N. Rule of Construction.
