supplemental hereto, which the City may pass when the written consent of the (1) Credit Facility <br /> Provider (if any) or (2) if a Credit Facility Provider Failure has occurred and is continuing or if <br /> there is no Credit Facility then in effect, Registered Owners of a majority in aggregate principal <br /> amount of the Bonds then Outstanding shall have been filed with the City. No such modification <br /> or amendment shall (A) extend the stated maturity of any Bond, or reduce the amount of <br /> principal thereof, or extend the time of payment or change the method of computing the rate of <br /> interest thereon, or extend the time of payment of interest thereon, or reduce any premium <br /> payable upon the redemption thereof or change the Purchase Price to be paid to Registered <br /> Owners tendering their Bonds, without the consent of the Registered Owner of each Bond so <br /> affected, or (B) reduce the percentage of Bonds, the consent of the Registered Owners of which <br /> is required to effect any such modification or amendment, without the consent of the Registered <br /> Owners of all Bonds then Outstanding. It shall not be necessary for the consent of the Registered <br /> Owners to approve the particular form of any Supplemental Ordinance, but it shall be sufficient <br /> if such consent shall approve the substance thereof. Promptly after the passage by the City <br /> Council of any Supplemental Ordinance pursuant to this subsection (a), the Bond Registrar shall <br /> mail a notice, setting forth in general terms the substance of such Supplemental Ordinance to the <br /> Registered Owners at the addresses shown on the Bond Register. Any failure to give such notice, <br /> or any defect therein, shall not, however, in any way impair or affect the validity of any such <br /> Supplemental Ordinance. <br /> (b) This ordinance and the rights and obligations of the City, of the Bond Registrar, <br /> with the consent of the Bond Registrar, and of the Registered Owners may also be modified or <br /> amended from time to time and at any time by an ordinance or ordinances supplemental hereto, <br /> which the City Council may pass and approve, but may pass without the necessity of obtaining <br /> -101- P 120287 CMW\20287 AMT 10/14/14 <br />
