Tender Agent, the Remarketing Agent, the Calculation Agent, the Underwriter and the Registered Owners. Section 11.04. Waiver of Notice. Whenever in this ordinance the giving of notice by mail or otherwise is required, the giving of such notice may be waived in writing by the person entitled to receive such notice and in any such case the giving or receipt of such notice shall not be a condition precedent to the validity of any action taken in reliance upon such waiver. Section 11.05. Notices to Be Provided to Rating Agencies. Notwithstanding anything to the contrary contained in this ordinance, if the Bonds are then rated by any Rating Agency, the Bond Registrar or the City as appropriate (at the expense of the City) shall give notice of the following events to each Rating Agency then rating the Bonds at the request of the City: (a) expiration, termination, substitution, extension or amendment of a Credit Facility and/or Liquidity Facility then in effect; (b) redemption of the Bonds other than mandatory sinking fund redemption; (c) any Conversion to a new Interest Rate Mode; (d) amendments to this ordinance; (e) removal or substitution of the Bond Registrar, Tender Agent or Remarketing Agent; and (0 any defeasance of the Bonds. Section 11.06. Notices. Subject to Section 11.04, any notice or request to or demand upon the Bond Registrar shall be in writing and may be served or presented to the office specified by the Bond Registrar. Any notice to or demand upon the City, Rating Agency or the Remarketing Agent, shall be deemed to have been sufficiently given or served for all purposes by being delivered or sent by confirmed facsimile transmission or by being deposited, postage prepaid, in a post office letter box, or sent by overnight courier, addressed as follows: -108- P\20287 CMW120287 AMT 10/14/14
