perform their duties and responsibilities with respect to the mandatory tender of such Bonds by <br /> reason of such Conversion. <br /> (d) For Bonds other than Short-Term Rate Bonds, Long-Term Rate Bonds or Index <br /> Floating Rate Bonds, not fewer than 15 days prior to the proposed Fixed Rate Conversion Date, <br /> the Bond Registrar shall give Electronic Notice, confirmed by first class mail, of the Conversion <br /> and of mandatory tender of the Bonds to the Registered Owners of such Bonds at their addresses <br /> as they appear on the Bond-Register as of the date notice of the election is received by the Bond <br /> Registrar from the City. The notice shall set forth the information required by Section 3.10(d). <br /> (e) All Bonds shall have the same maturity date and bear interest at the same Fixed <br /> Rate on and after the Fixed Rate Conversion Date unless on the date the Remarketing Agent <br /> determines the Fixed Rate the Remarketing Agent also determines that such Bonds would bear a <br /> lower effective net interest cost if such Bonds were serial bonds or serial bonds and term bonds <br /> with the maturity (or Mandatory Sinking Account Payment) dates and principal amounts <br /> matching the Mandatory Sinking Account Payments, in which event such Bonds shall become <br /> serial bonds or serial bonds and term bonds with such maturity (or Mandatory Sinking Account <br /> Payment) dates and principal amounts and shall bear separate Fixed Rates for each maturity. <br /> Notice of any mandatory sinking fund schedule shall be provided by the Remarketing Agent to <br /> the Bond Registrar. The Fixed Rate shall be the rate of interest per annum borne by such Bonds <br /> on and after such Fixed Rate Conversion Date and shall be the lowest rate of interest that, in the <br /> judgment of the Remarketing Agent, would cause such Bonds to have a price equal to the <br /> principal amount thereof plus accrued interest, if any, under prevailing market conditions as of <br /> the date of determination. Not later than 12:00 noon, New York City time, on the Business Day <br /> prior to the Conversion Date, the Remarketing Agent shall determine the Fixed Interest Rate for <br /> -39- P\20287 CMW120287 AMT 10/14/14 <br />
