duties and obligations of such predecessor Tender Agent, with like effect as if originally named <br /> Tender Agent herein, and (ii) the predecessor Tender Agent shall pay over, transfer, assign and <br /> deliver to the successor Tender Agent all the right, title and interest of the Tender Agent in and <br /> to all money and all other property (including, without limitation, Bank Bonds) held by the <br /> Tender Agent subject to and in accordance with this ordinance; but nevertheless at the request of <br /> the City, the successor Tender Agent, any Remarketing Agent or the Liquidity Facility Provider, <br /> the predecessor Tender Agent shall execute and deliver any and all instruments of conveyance or <br /> further assurance and do such other things as may reasonably be required for more fully and <br /> certainly vesting in and confirming to the successor Tender Agent all the right, title and interest <br /> of the predecessor Tender Agent in and to all money and all other property (including, without <br /> limitation, Bank Bonds) held by it under this ordinance. Upon request of the successor Tender <br /> Agent, the City shall execute and deliver any and all instruments as may be reasonably required <br /> for more fully and certainly vesting in and confirming to the successor Tender Agent all money, <br /> estates, properties, rights, powers, trusts, duties and obligations of the predecessor Tender Agent. <br /> Upon acceptance by a successor Tender Agent as provided in this subsection, the City shall give <br /> notice of the succession of such Tender Agent by Electronic Notice, confirmed by first class <br /> mail, to the Registered Owners at the addresses shown on the Bond Register. If the City fails to <br /> deliver such notice within 15 days after the acceptance of appointment by the successor Tender <br /> Agent, the Bond Registrar shall cause such notice to be delivered to such Registered Owners <br /> within 30 days of such acceptance at the expense of the City. <br /> (e) Any entity into which the Tender Agent may be merged or converted or with <br /> which it may be consolidated or any company resulting from any merger, conversion or <br /> consolidation to which it shall be a party or any entity to which the Tender Agent may sell or <br /> -60- P\20287_CMVN20287_AMT 10/14/14 <br />
