(4) To offer for sale and use its best efforts to find purchasers for the Bonds <br /> tendered for purchase, any such sale to be made at a price equal to 100% of the principal amount <br /> thereof plus accrued interest to the Purchase Date or at such other price as may be permitted <br /> under the terms of this ordinance, in accordance with the terms of this ordinance; <br /> (5) To deliver to the Tender Agent all Bonds held by it in accordance with the <br /> terms of this ordinance and the Remarketing Agreement; and <br /> (6) To perform such other duties and responsibilities (including, without <br /> limitation, with respect to Bank Bonds) as are provided in this ordinance to be performed by the <br /> Remarketing Agent. <br /> (b) One or more firms may serve as co-Remarketing Agents hereunder provided that <br /> each co-Remarketing Agent satisfies the requirements of Section 3.13. If co-Remarketing <br /> Agents have been appointed and are performing the duties of Remarketing Agent hereunder, all <br /> references herein to the Remarketing Agent shall be deemed to refer to all the Remarketing <br /> Agents acting jointly; provided that the Remarketing Agreement may provide that one firm may <br /> perform certain specified duties hereunder in its sole capacity. <br /> (c) Each Remarketing Agent may in good faith hold any Bonds or any other form of <br /> indebtedness issued by the City; own, accept or negotiate any drafts, bills of exchange, <br /> acceptances or obligations thereof; and make disbursements therefor and enter into any <br /> commercial or business arrangement therewith; all without any liability on the part of the <br /> Remarketing Agent for any real or apparent conflict of interest by reason of any such actions. <br /> Section 3.13. Qualifications of Remarketing Agent. Each Remarketing Agent shall be <br /> authorized by law to perform all the duties imposed upon it hereunder.
