that Grantee may take appropriate steps to protect its interests. If the City receives a demand <br /> from any person for disclosure of any information designated by Grantee as confidential, the <br /> City shall, so far as consistent with applicable law, advise Grantee and provide Grantee with a <br /> copy of any written request by the party demanding access to such information within a <br /> reasonable time. Until otherwise ordered by a court or agency of competent jurisdiction, the City <br /> agrees that, to the extent permitted by State and federal law, it shall deny access to any of <br /> Grantee's books and records marked confidential as set forth above to any person. <br /> 7.3. Records Required <br /> (A) Grantee shall at all times maintain, and shall furnish to the City upon <br /> request: <br /> (1) A complete set of maps showing the exact location of all Open <br /> Video System equipment and facilities in the Right-of-Way, but excluding detail on proprietary <br /> electronics contained therein and Subscriber drops. As-built maps including proprietary <br /> electronics shall be available at Grantee's offices for inspection by the City's authorized <br /> representative(s) or agent(s) and made available to such persons during the course of inspections <br /> as reasonably conducted by the City. These maps shall be certified as accurate by an appropriate <br /> representative of the Grantee; <br /> (2) A copy of all FCC filings on behalf of Grantee which relate to the <br /> operation of the Open Video System in the City; and <br /> (3) The number of Subscribers added or terminated, all construction <br /> activity, and total homes passed for the previous twelve (12)months. <br /> SECTION 8. PUBLIC, EDUCATIONAL AND GOVERNMENTAL ACCESS <br /> If, as and when Grantee provides Cable Services, Grantee shall promptly notify the City <br /> of that fact and the date it commenced providing Cable Services. This section shall apply <br /> Grantee's Cable Services. <br /> The Grantee shall ensure that all subscribers receive any public, educational and <br /> governmental access channels within the subscribers' franchise area. If requested by the City the <br /> Grantee shall satisfy its public, educational and governmental access channel obligations by <br /> providing the same channel capacity for public, educational and governmental access as the local <br /> cable operator(s) provides in the City in proportion to the size of Granteee's System as compared <br /> to the size of the local cable operator's system measured by number of subscribers. The channel <br /> capacity shall be rounded up to the nearest whole number. By way of example, if the proportion <br /> of Grantee's and local cable operator's subscribers is twenty-five hundredths, and if the local <br /> cable operator provides one government access channel and one educational access channel, then <br /> Grantee shall provide one government access channel and one educational access channel. The <br /> Grantee shall work in good faith with the local cable operator to connect its System with that of <br /> the local cable operator's system for the purpose of obtaining public, educational and <br /> governmental access channel feeds. The Grantee will use its best efforts to accomplish these <br /> PEG access interconnection feeds at a location to be suggested by the City. The costs of <br /> connections to the local cable operator's public, educational and governmental access channel <br /> feeds shall be borne by the Grantee. Such costs shall be counted towards the Grantee's PEG <br /> 12 <br />
