r <br /> Grantee shall reimburse the City for all costs and expenses of preparation and publication of this <br /> Franchise and any Ordinance related hereto. <br /> 13.4. Binding Effect <br /> This Franchise shall be binding upon the parties hereto,their permitted successors and assigns. <br /> 13.5. Authority to Amend <br /> This Franchise may be amended at any time by written agreement between the parties. <br /> 13.6. No Joint Venture <br /> Nothing herein shall be deemed to create a joint venture or principal-agent relationship between the <br /> parties, and neither party is authorized to, nor shall either party act toward third Persons or the <br /> public in any manner that would indicate any such relationship with the other. <br /> 13.7. Waiver <br /> The failure of the City at any time to require performance by the Grantee of any provision hereof <br /> shall in no way affect the right of the City hereafter to enforce the same. Nor shall the waiver by the <br /> City of any breach of any provision hereof be taken or held to be a waiver of any succeeding breach <br /> of such provision, or as a waiver of the provision itself or any other provision. <br /> 13.8. Venue <br /> Venue for any judicial proceeding regarding this Franchise shall be in Snohomish County. <br /> 13.9. Governing Law <br /> This Franchise shall be governed by applicable local, Washington state and federal law. Franchisee <br /> agrees to comply with all such applicable law. <br /> 13.10. Entire Agreement <br /> This Franchise represents the entire understanding and agreement between the parties hereto with <br /> respect to the subject matter hereof and supersedes all prior oral or written negotiations between the <br /> parties. <br /> 13.11. Severability <br /> If any Section, subsection, paragraph or provision of this Franchise is determined to be illegal, <br /> invalid or unconstitutional by any court or agency of competent jurisdiction, such determination <br /> shall have no effect on the validity of any other Section, subsection, paragraph or provision of this <br /> Franchise,all of which will remain in full force and effect for the term of the Franchise. <br /> 13.12. Acceptance <br /> 29 of 30 <br />
